My favorite ways to doom an M&A transaction:
- miss aspects, compatibility of both companies during due diligence
- overpay
- miss what you are buying (e.g., people in a service business)
- delay integration
- pay insufficient attention to customers, employees of all companies

A relationship may give rise to a duty, which, if breached, would support mental anguish damages under Texas law -- requires a "specific duty of care that, under the law, arises from the relationship." Boyles v. Kerr, 855 S.W.2d 593, 600 (Tex. 1993).
Most legal and personal relationships do not create a duty to avoid causing mental anguish. City of Tyler v. Likes, 962 S.W.2d 489, 496 (Tex. 1997). "Special relationship" cases have three common elements: (1) a contractual relationship between the parties . . .

PII under General Data Protection Regulation (GDPR) ("... data protection should apply to any information concerning an identifiable natural person . . .") is not the same as in US NIST SP 800-122 (where "PII" is "... any information about an individual maintained by an agency.")
