Chad Larson [@chad_larson_], M-KOPA co-founder and major shareholder, has filed a formal complaint with Kenya’s Capital Markets Authority over an employee share buyback he says is unfair and illegal.

Key points:
—Valuation used for the buyback is allegedly manipulated and set at a 95% discount to M-KOPA’s true value.
—Sumitomo Corporation is accused of a conflict of interest because it sits on the board & is also the buyer of the heavily discounted shares.
—Kenyan employees who bought their shares through the ESOP are the primary targets of the low-priced offer.
—Employees are barred from discussing sale terms with colleagues, which Larson argues violates governance and shareholder communication rules.
—Minor shareholders holding fewer than 500 shares have allegedly been denied basic rights including participation in meetings and access to minutes.
—Larson wants CMA to halt the buyback, revalue the shares independently, and investigate board conduct and adviser Eden Global Partners.
