What do I find? Standardization is linked to lower firm value, stock returns, and performance incentives. This is difficult to reconcile with more efficient labor markets but aligns with a one-size-fits-all trend that prevents tailoring compensation to individual firms' needs.
Using the 2006 CD&A rule as a shock that exogenously increased compensation disclosure, I find that higher disclosure makes compensation structures more similar across firms. Interestingly, this effect is significantly stronger with higher levels of institutional ownership.

Is this standardization good or bad? If it comes from more efficient labor markets and informed directors, it can boost firm value. However, it can be harmful if inst investors don’t know the optimal compensation or if boards offer inferior pay plans to gain their support.

What about compensation disclosure? Expanded disclosure can create uniformity in compensation structures if it helps companies design compensation plans by learning from their peers. Does this also play a role in the standardization? Yes.
