Savannah Clinker Limited has announced a competing offer to acquire 100% of the ordinary shares of Bamburi Cement, challenging the previous bid by Amsons Industries:
—The Competing Offer price is KES 70.00 per share, while the original offer was KES 65.00 per share.
—The Competing Offer is in response to an earlier proposed offer by Tanzanian-based Amsons Industries (K) Ltd.
—Savannah Clinker Limited is a private company incorporated in Kenya & is wholly owned by Mr. Benson Sende Ndeta.
—Benson Ndeta was the majority shareholder of Savannah Cement Limited until 18th November 2022 when his shares were transferred to a third party. Savannah Cement Limited was placed into administration on 21st July 2023.
—The Competing Offeror plans to maintain the existing business operations and employment terms of Bamburi employees after the acquisition.
—The Competing Offer Document will be shared with Bamburi’s shareholders

EACC holds that:

· The takeover breached Regulation 40(3) of the PFM Regulations 2015 on supplementary appropriation since the transaction cannot be deemed to have been unforeseen or unavoidable
One of my investing heroes, Charlie Munger has died at age 99.
Besides being Warren Buffett’s right hand man and the Vice-chairman of Berkshire Hathaway, Charlie was instrumental in shaping Warren into the world’s greatest investor.
Charlie was the one who convinced Warren to stop investing in very cheap mediocre companies and to invest instead into superior companies, with strong economic moats even if it meant paying a fair price. Without Charlie’s influence, Warren would have never invested into some of his best investments like See’s Candy, Coca Cola, American Express and Apple (their most profitable stock to date).
It was this philosophy of only investing in the highest quality companies (as opposed to just cheap stocks) that I learnt from Warren and Charlie’s teachings. I owe much of my investing success to their generous teachings as well.
Charlie once said that the reason he and Warren were so successful was not because they were very smart. It was because they were less crazy and less stupid that the majority of investors in the world. This lesson really resonated with me.
After being in the markets for over 30 years, I have also realised that the reason most people lose money in the markets is because they do crazy and stupid things most of the time. They buy overpriced stocks and over-leverage because of greed, they sell underpriced stocks because of fear, they buy worthless assets because it’s been hyped by the media. They act irrationally most of the time.
As long as we can stay rational when everyone goes crazy and be less stupid that most investors, we can compound our money into millions and billions of dollars.

Rarely wake up at this time. Happened to immediately see the news. Charlie Munger has just passed away at the age of 99. He would have been 100 coming January. An era has come to an end.
He was Buffett's partner for nearly 6 decades and has contributed equally to the success of Berkshire Hathaway.
He has lived a long fulfilling life. Along with Buffett, he has been responsible for educating investors of few generations on life, business and investing. Munger's philanthropy has touched many lives.
His legacy would live on.
