3 things I check before trusting a seller’s SDE:
1.Does the tax return match the P&L?
2.Does revenue show up in bank deposits?
https://t.co/PoDOaStKFe “one-time” add-backs repeat every year?
Fail one, the asking price is probably wrong.
Let me spare you some trouble
If something feels off about why a seller is selling a business, save yourself tens of thousands of dollars if not more and move onto the next CIM
@SBA_Matthias Agreed, and there’s a numbers version of this same instinct. If the “why I’m selling” story doesn’t match what the financials actually show (declining margins dressed up as “just ready to retire”), that mismatch is often the tell before the tell.
Spent time at Deloitte working the PE and M&A sector’s auditing Fortune 500 financials. Now I look at $500k HVAC companies with the same scrutiny. Screening small business acquisitions tie-outs, proof of cash, add-back checks so buyers know what they’re actually buying. #smb
