Kenya Re has convened an SGM on 11 February 2026 to approve amendments to its Articles aimed at strengthening board governance and shareholder representation:
—Introduction of two share classes (Class A & Class B), with differentiated rights on nomination and election of directors, while retaining equal economic rights.
—Board size to be reduced from 11 to 9 directors, with at least one-third being independent non-executive directors, in line with best practice.
—Clearer director tenure rules: 3-year terms, renewable once, reinforcing board refreshment and accountability.
—Stricter independence and eligibility criteria for independent directors, including cooling-off periods, limits on political affiliation, consultancy, and prior employment or audit relationships.
—Enhanced provisions on director disqualification, retirement, and nomination, tightening governance safeguards.
The meeting will be held virtually.

Now, Smith Hempstone had arrived in Kenya convinced he could “co-opt Moi,” a phrase that in Kiswahili meant bribing him gently with farm animals and flying machines.

Unshaken, Hempstone tried Plan B:
A Lockheed C-130 Hercules, a flying palace for Excellency’s personal errands, prayer retreats and emotional tours.
Moi reminded Hempstone that Mobutu had one. Executive capsule. Luxury fittings. Presidential swagger at 30,000 feet.
American generals, unimpressed, declared: “The Kenyans need a C-130"
Hempstone even suggested a second-hand version a bit rusty, freshly painted, luxury pod installed, Moi smilled, Washington said no. Moi kept smiling anyway.

At the Intercontinental Hotel, the opposition gathered, furious and wounded, declaring the results illegitimate. Hempstone, now tired of babysitting political grown-ups, advised them to stop crying and fight in Parliament and the courts.
The British, quietly pragmatic, were relieved. Matiba had threatened to deport Asians. Moi, for them, was the devil they had already memorised.
The opposition would only learn the lesson a decade later in 2002, when unity finally replaced ego .
