Charlotte Fang is promoting a false narrative untethered to reality in an attempt to preempt legal scrutiny and public revelation of his own malfeasance and embezzlement of the Remilia collective’s funds.
We are the co-founders, officers, and managers of Remilia. Three weeks ago we sent a private letter
to Charles in a good faith attempt to get him to recognize us as co-founders, provide us the equity we’ve earned in the collective, and return all of the money he has siphoned out of the treasury. In response to our letter, and after his attorneys asked us not to publicize our concerns, Charles filed a lawsuit wrongfully labelling us “independent contractors” and “terrorists.” We are not surprised that Charles complaint does not attach a single contract or any of the countless messages we have from him proving our claims and contradicting his own. While we did not intend that these issues be publicly aired, Charles has made that choice for us not only by filing his complaint, but by his tweets and continuing illegal actions. We welcome the opportunity to have this dispute resolved in the courts. In the interim, however, we feel compelled to protect the collective and our own reputations with the following truths:
1. Remilia is, and always was, a collective. The LLC that Krishna unilaterally created in Delaware last
year does not own the collective’s assets and was formed without the knowledge or support of the other co-founders. Krishna did not make his separate company until a year after the co-founders created Milady Maker, and four months after the launch of Remilio. It can’t possibly own the funds or work we generated the prior year. Krishna’s post hoc claim of sole ownership is not only wrong, it violates clauses in each of our contracts and the trust we had placed in him.
2. We are Remilia’s co-founders. We are not “independent contractors,” “rogue developers,” and certainly not at the “bottom of the hierarchy.” Charles expressly acknowledged us as co-founders, c-suite officers, members of an executive board, and equity holders on numerous and repeated occasions, including in signed contracts, text messages, calls, and IRL discussions. We are baffled by his current statements attempting to minimize and marginalize our roles and contributions, which he seems to be doing solely to support of his own efforts to steal our rights in the collective and to the art. Below are screen shots of the documents proving our points. We challenge Krishna to provide documents showing that we are merely independent contractors to a company that he did not even form until after we generated Remilia’s treasury.
3. The Bonkler treasury was not stolen. The funds have always been (and continue to be) securely held in an auction contract controlled by Ccccaa, with the prior knowledge and approval of Remilia’s co-
founders. These funds have not been taken by a rogue developer; – they remain unmoved in the collective’s possession as they were before Charles filed his complaint. The claim that the Bonkler
project rugged, improperly handled funds, or had its treasury used as leverage is completely fabricated.
4. Unfortunately, the same cannot be said of Charles unauthorized removal of the collective’s other
funds from its treasury. Upon discovery, we demanded Charles return upwards of US$600,000 of assets that he diverted from the collective’s treasury multisig to various of his personal accounts. Following our demand, Charles removed all other founding members of Remilia from the treasury multisig, and following his public posts and filing his complaint, has now withdrawn a total of US$2.6MM worth of digital asset value at the time of writing. His actions yesterday, moving $1,900,000 worth of
digital asset value into Coinbase wallet controlled exclusively by him, confirm that our concerns are valid. These screenshots are provided as well.
