Republic and INX collaboration/strategic partnership/merger/buyout FAQ…

• INX is now the *only* venue in the US offering capital formation in a regulated environment utilising blockchain technology.
• This merger should bring INX an instant 3 million new customers.
• Will I lose my tokens? No… A change of control would result in a pro-rata payout of the cash fund, to all token holders. And the token would continue on with all of the same rights, including the profit share. Effectively all tokens holders would simply get a special dividend of $0.26 for every token they hold. And still keep their tokens.
• So I keep my 40% profit share token dividend? Yes… Profits of any subsidiary rolling up to INX go into the 40% profit share. So for example, if Republic brings primary raises from their pipeline to our INX Securities platform, and profits are generated there as a result, those profits are included in the 40%, on a cumulative basis. Similarly on the INX Digital side (crypto trading platform), profits there are also still included in the profit share. Any new business driven to INX’s issuance/trading platforms, as a result of this partnership, benefits the token holder’s profit share dividen.
• What if Republic stop using INX? They can’t, INX Securities broker-dealer is currently the only entity authorised to do the digital security issuance/trading, so digital security deals must be placed within that entity, which rolls into the profit share. This was the primary motivation for this deal even.
• What happens to INX if Republic squire INX? Well, INX will simply become Republic, and begin operating under that name.
• All token holders’ rights are preserved. INX has a legal contract with all its token holders.
• Will INX remain a public company if it becomes Republic? Likely no, INX would go private after the acquisition, as Republic is a private company.  This would effectively de-list the INX equity shares from public trading.  However, that does not effect the status of the INX token. The INX token will continue to trade on our ATS, and INX Limited will continue to be a publicly reporting company in the US.
• No one can ever take your INX tokens away from you, they are a registered security, they remain yours forever, or until you choose to sell them to someone else 👍🏻
