SEC Commissioners, I bring you yet another point to consider in your deliberations about why you should dismiss the SEC's case against Richard Schueler (Heart):
Why are you spending taxpayer dollars pursuing the same Section 5 securities claims against Mr. Heart that a private citizen began pursuing a year before the SEC’s filing?
As you well know, but some of my followers may not, there is a law called the Private Securities Litigation Reform Act (PSLRA) that allows private citizens to sue for violations of securities laws. It’s original intent was to stem the tide of frivolous lawsuits. Like most legislation, it does not seem to be working as intended.
Regardless, under that law, a private citizen, Noah Veon, filed a class action lawsuit against Mr. Heart in South Carolina state court, beating the SEC’s filing by almost a year (See the date stamped on the Complaint below).
It alleges violations of Section 5 of the 1933 act, which the SEC is also spending taxpayer dollars to pursue against Mr. Heart in federal court. Notably, Mr. Veon did not allege any fraud claims against Mr. Heart in his lawsuit, because everyone (well, everyone except the SEC apparently) knows that Mr. Heart did not commit fraud.
Redundant litigation is not a good use of your supposedly limited resources. There is no valid reason to throw taxpayer dollars at a case when a private citizen is willing to finance it themselves.
You should dismiss the SEC’s action because it’s duplicative and a complete waste of taxpayer dollars, not to mention completely without merit.
Finally, at least we know who the complaining party is in the SC lawsuit. The SEC has withheld the name of the one person who supposedly bought HEX on Uniswap (the SEC’s entire argument for venue in EDNY, btw). The SEC has also not named a single person who was allegedly harmed by any action or omission by Mr. Heart, and they could not even cite a single domestic securities transaction to Judge Amon in the October 31, 2024, hearing in response to her questions on that issue.
At least there’s transparency in the SC lawsuit. There’s none in the SEC’s. Dismiss it and stop wasting taxpayer dollars doing what private citizens are already financing.
