Investment Thesis: SATA (ASST Variable-Rate Preferred)
$NODE has requested an allocation in $SATA, Strive’s cumulative, senior, variable-rate preferred, designed to deliver high current yield with capital stability.
Structure and mechanics
>$100 par, cumulative, monthly pay, initial target 12% annualized yield.
>Dividend rate is variable: management can raise or lower it to keep trading in a $95–$105 range.
>A 12-month dividend reserve is funded at launch to ensure continuity of payments.
>4:1 BTC coverage cap enforces balance sheet discipline; excess leverage triggers adjustments.
>Callable at $110; ATM issuance limited to the $95–$110 range.
>Deferred dividends compound (up to ~20% per annum) and preferred holders gain governance rights if payments are missed.
Attractive risk/reward
At the ~$80 issue price, $SATA’s current yield is roughly 15%, based on the 12% target rate. That is meaningfully above the secured Bitcoin financing costs we see across the sector (generally high single to low teens, depending on collateral and LTV). Investors are being compensated for volatility with a built-in stabilizer: if price weakens, the rate dial can move higher to defend the band; if demand tightens spreads, the issuer can lower the rate or issue via its ATM if at premium.
Why it fits now
MicroStrategy’s experience with its STRC preferred and broader balance sheet strategy showed both the promise and the pitfalls of Bitcoin-backed financing. The uncapped, floating liquidation price helped foster early liquidity but blurred the value of the common equity, while dependence on external debt and market timing made capital costs unpredictable. ASST seems to have learned from that playbook. By defining a $95–$105 trading band, a call at $110, and an adjustable rate mechanism supported by an internal dividend reserve, it is building a simpler, more transparent structure designed to flex internally rather than rely on constant outside financing. This approach is well suited to an ecosystem still learning to finance itself on transparent, market-based terms.
Leadership credibility
@ColeMacro stands out to us among digital asset treasury (DAT) operators. Before founding ASST, he managed over $70 billion in active fixed-income portfolios at CalPERS, where his focus was on risk management, structured securities, and derivatives, skills that translate directly to designing resilient capital structures. That background gives ASST an uncommon ability to measure, hedge, and fund risk internally, rather than relying on third-party platforms for custody, lending, or yield enhancement.
@VivekGRamaswamy has been instrumental in fundraising and M&A, leveraging his capital-markets experience and political network to give ASST access to investors and strategic partners that few DATs can reach. We believe his involvement strengthens the company’s external positioning while Cole’s discipline anchors its internal risk culture.
Together they combine institutional-grade risk management with real-world access to capital and influence, a rare pairing in this corner of digital finance.
Bottom line
We view $SATA as income with a stabilizer: a double-digit cash yield at issue, clear call ceiling, and real levers to defend capital.
$NODE has been bearish on digital asset treasuries (DATs) for some time, given weak governance and opaque funding structures. But at current levels we see selective value emerging among those operators that are building with clear capital frameworks and contingency planning. ASST is one of them.
We believe that at current terms, $SATA offers a return comfortably above our hurdle, aligned with the volatility profile of the fund, and backed by management that knows how to build and fund balance sheets.
