I suppose it depends on the federal prosecutor. Doubtful. In our case it seems more likely that it would go something like this… Hypothetically, of course.
In a federal indictment, the "unit of prosecution" is typically tied to a specific fraudulent execution, transaction, or communication rather than individual units of stock. In your scenario, a prosecutor would likely break the charges down by:
- Per Victim / Per Account: If the broker falsified the statements of 50 different shareholders to reflect this 1-for-30 dividend, that can be charged as 50 distinct counts of securities fraud or wire fraud.
Per Transaction / Statement: Each monthly account statement or trade confirmation sent out that contains the fabricated share count constitutes a separate count of fraud (often categorized as wire fraud or mail fraud, which carry up to 20 years per count).
BUT, this would require the SEC to do their actual job. They seem far better at what looks like colluding vs actual regulation. Afterall… The brokers seem to be the authority over @SECPaulSAtkins and @SECGov.🤷♀️

A: Dividend shares will be distributed on the basis of one share for every thirty shares held (1 for 30). This calculation will be based on shares held at the close of business on July 8, 2026 (the record date). Only shares registered in a "bulk certificate" thru a brokerage firm and those registered directly at EQ, in digital or certificate form, would qualify for this dividend. The crediting of "phantom" stock shares to customer accounts that are not actually backed by certificate registrations would be a violation of applicable securities laws as well as a violation of fiduciary and custodial responsibility.
Sooooo… You’re saying if brokers put non-certificated dividend shares in shareholder accounts that they are committing securities fraud?

30 days later:
