Microsoft just ran a surgical strike on its own workforce and wrapped it in a retirement benefit.

The Rule of 70 (age + tenure ≥ 70) targets the oldest and highest-tenured employees in the company. Senior director and below. Sales excluded. These are the workers most legally protected from a traditional layoff. The Age Discrimination in Employment Act makes mass cuts of anyone over 40 a class-action magnet, and "we needed cash for GPUs" does not hold up under deposition.

Voluntary retirement with a buyout rewrites the legal surface entirely. Workers sign a separation agreement, waive their right to sue, and walk. Microsoft removes 8,750 of the most expensive and most protected employees in the company without a single WARN Act filing.

The math on why is what the market actually cared about. Microsoft spent $37.5B in capex in one quarter, up 66% YoY. Fiscal 2026 is tracking toward $120B. That's $328M per day on datacenters, GPUs, and networking. Azure revenue grew 39%. Capex grew nearly twice as fast.

If the average targeted employee costs $300K fully loaded, 8,750 of them represent $2.6B per year of cost. Eight days of current capex. The buyout barely pays for a weekend of GPU shipments.

Which tells you the real purpose. Rule of 70 hits the exact cohort that built their careers on Windows, Office, and on-prem enterprise sales. The people least equipped to rebuild the company around Copilot and agents.

MSFT dropped 4% on the announcement. A 51-year-old company running its first-ever voluntary exit program means the AI margin story isn't yet absorbing the capex story the way investors were promised.

Watch the real number. $625B in remaining performance obligation against $120B of annual capex against a workforce Microsoft is now openly reshaping. Microsoft has pre-sold the AI revenue. Now it needs the chips, the power, and the right people to ship it. It can fund two of those three.
