Hybrids can also be difficult to execute within institutions where subscription facilities and NAV lending are handled by different teams with different underwriting frameworks.
One key challenge is timing.
When negotiated early in a fund's life, lenders are often asked to structure around assets that do not yet exist, creating uncertainty around future collateral.
In theory, hybrids offer a seamless transition from borrowing against uncalled capital in a fund's early years to borrowing against portfolio value as investments mature.
Sounds compelling.
In practice, adoption has been more limited than many expected.
Why?
Because hybrids often introduce additional complexity, structuring challenges, and legal costs.
Hybrid facilities have long been touted as the next evolution in fund finance.
The idea: combine subscription line and NAV lending features into a single facility that evolves with a fund over its lifecycle.
