I popped onto Facebook a couple of days ago for the first time in a while and noticed that several of my male friends had gotten considerably better looking. Kansas Supreme Court to Hear Delta Dental of Kansas Governance Case November 2, 2026
A legal battle between Kansas dentists and Delta Dental of Kansas has reached the state’s highest court.
Dr. Mark P. Troilo and Dr. Christopher Leiszler have spent years challenging governance changes adopted by the Delta Dental of Kansas board in December 2020. After winning a major ruling in Sedgwick County District Court in 2021, they faced a significant reversal by the Kansas Court of Appeals in April 2026. The case, Troilo v. Yager, No. 128,771, is now headed to the Kansas Supreme Court, with oral argument scheduled for November 2, 2026.
At the center of the dispute is a fundamental question of corporate governance: How much authority should participating dentists have inside a nonprofit dental insurer created under Kansas law?
Delta Dental of Kansas has historically had a 10-member board, with six directors appointed through Kansas government and four elected by participating dentists. In December 2020, the six appointed directors approved major amendments to the corporation’s Articles of Incorporation and bylaws over the objections of the four dentist-elected directors. The changes shifted authority away from participating dentists and strengthened board control over future governance decisions.
Troilo and Leiszler challenged those actions in court. In 2021, District Judge William Woolley ruled in their favor and invalidated the amendments. But in April 2026, the Kansas Court of Appeals reversed important portions of that ruling, concluding that the district court had misinterpreted the corporation’s governing documents. At the same time, the appellate court did not declare every 2020 amendment lawful and sent unresolved issues back for further consideration. Now the Kansas Supreme Court will weigh in.
This case matters far beyond Kansas. Delta Dental of Kansas has had participating agreements with approximately 95% of licensed dentists in the state. When an organization with that level of market participation changes the balance of power between its board and its dentist members, the consequences extend beyond an ordinary corporate dispute.
Delta Dental has argued that its board acted to protect the organization, employers and consumers. The dentists argue that participating doctors were stripped of meaningful governance rights and the ability to hold the organization accountable.
What began as a disagreement over reimbursement and insurance policies has evolved into a larger legal battle over member rights, board authority, nonprofit governance and the relationship between dentists and dental benefit companies.
On November 2, the attorneys will make their arguments before the Kansas Supreme Court. The decision will likely come later in a written opinion. Kansas dentists will be watching. So should dentists everywhere.
