1) The shares Elon's receiving from this are restricted and do not vest until January 19, 2028. Then, a 5 year lockup period begins. He cannot sell them until 2033.

2) Elon did not sell any Tesla stock here. He exercised these 304M stock options through net settlement (Tesla withholds shares).

3) These restricted shares are currently worth about $114 billion.
