La nueva Ley del Mercado de Valores reconoce por primera vez a los activos emitidos o registrados en blockchain como parte formal del mercado financiero.

Sí: la tokenización ya tiene marco legal.

¿Qué significa esto?

Que un derecho económico —una acción, un bono, un inmueble, un pagaré o una participación en un proyecto— puede representarse como un token digital y ser considerado un valor regulado, siempre bajo supervisión de la SIV.

En términos prácticos: fraccionamiento, trazabilidad, transferencias más ágiles y potencial reducción de costos de intermediación.

No es teoría.

BlackRock lanzó en 2024 su fondo tokenizado BUIDL sobre Ethereum y en menos de seis meses superó los US$ 500M en activos. Franklin Templeton, J.P. Morgan, HSBC y otras instituciones globales ya tokenizan fondos, bonos y líneas de crédito.

El mundo financiero tradicional ya está migrando hacia los RWA (Real World Assets).

Paraguay ahora entra formalmente en esa conversación.

¿Qué se podría tokenizar bajo esta ley?

– Participaciones en proyectos
– Deuda corporativa y bonos
– Acciones
– Recibibles
– Fondos de inversión
– Inmuebles fraccionados

Siempre cumpliendo requisitos regulatorios.

Esto habilita modelos similares al crowdfunding, pero con infraestructura blockchain y supervisión formal.

Ejemplo simple:
Si no podés comprar un departamento entero, podrías adquirir metros cuadrados tokenizados. Si se alquila, cobrás renta proporcional. Si se vende, recibís tu parte.

Democratización del acceso al capital.

Importante:
Esto NO significa que toda criptomoneda sea un valor. Bitcoin o Ethereum no se convierten automáticamente en valores regulados. La ley aplica a tokens que representen derechos de crédito, propiedad o inversión.

Ahora el desafío pasa al BCP y la SIV, que deberán reglamentar emisión, custodia y operación.

Pero el mensaje político y jurídico es claro:

Mientras muchos países aún debaten qué hacer con los activos digitales, Paraguay los incorpora directamente al marco del mercado de capitales.

Para fintechs, startups, estructuradores y emisores: se abre una ventana histórica.

La tokenización ya no es solo narrativa cripto. En Paraguay, es derecho positivo.
