@Esqueer_ This is bad advice & silly to think the M&A lawyers on this deal didn’t give this serious consideration. Elon’s lawyers were probably the ones pushing 4 a more objective test given the negative covenant applies to E & uncertainty in this context generally has a deterring effect.
