One of the most hotly debated industries in SMB land. Bull case is the smart firms can automate the lower level stuff and go deeper on value add strategic services (fractional CFO, etc).
If switching costs are too high, but the rest of the thesis is correct, does that mean PE just does more acquisitions? Probably a great time to build a new accounting firm too

Good news: new deals on businesses without obvious tariff exposure are still getting signed up.
Bad news: already signed deals with tariff exposure are getting sidelined.
Other bad news: banks are tightening credit for all deals in the face of greater uncertainty.
Great question - havenβt on my end. While it sounds reasonable, usually the spirit of the deal is the seller note is mostly paid after bank SBA loan (full or partial standby). Having an uncapped liability far into the future that could grow exponentially, might be too much risk for most people to get comfortable
