$USDE: StablecoinX filed an S-1 resale registration statement yesterday. The only new shares potentially issuable are from 7.6M warrants granted to the former SPAC sponsors to pay back a $6.9M loan

The underlying shares are related to:
Tranche A: 3.27M $11.50 5-Year Sponsor Warrants
Tranche B: 4.36M $15.00 8-Year Sponsor Warrants

It is unlikely that the shares underlying these warrants will be issued in the near term given that 1) the stock price is under the exercise prices and 2) it's an uneconomic decision to exercise early and forgo the option value. If they are exercised early, the company would receive cash proceeds from such exercises = $37.6M for Tranche A and $65.4M for Tranche B

Finally all the other underlying shares for the 11.5M public warrants, ~20M PIPE, and 5M Ethena Foundation + StablecoinX + TLGY sponsor shares were already registered through the S-4 merger proxy.

I assume a vast majority of the 20M PIPE shareholders have already sold into the market which accounts for today's trading float.

The remaining 5M insider shares don't have any current impact. 1.35M shares will become tradable once their lockup expires in late December. The shares break down as follows:

Ethena Foundation: 3.6M shares - No Lockup, but the foundation owns 57% voting control (B Shares) and is unlikely to ever sell

Legacy StablecoinX: 700K shares, 6 Month Lockup expiring 12/28

Former TLGY Sponsors: 645K shares, 6 Month Lockup expiring 12/28
