You are spot on @Banana3Stocks. As someone who valued intangible assets post acquisition for SEC reporting in a prior career, any portion of the company acquisition price that was not allocated to tangible assets and identified intangible asset (eg patents, trademarks, etc.) got reported as Goodwill.
