I read the DIPAM Secretary's interview to Moneycontrol carefully. I appreciate that he spoke on record; that is how a public debate should be. But three of his own statements, and one thing he left out, deserve a closer look.
First, the valuation method was revised in April 2026, "incorporating lessons from the first round". The first-round bids had already been opened in March. So the methodology was reset by the same committee that had seen the bids. The valuers may have been blind; the rule-makers were not.
Second, he says "suitable comparable transactions were unavailable", so only public sector banks were used as peers. Yet in 2025 alone, SMBC bought 20% of YES Bank at an 18% premium to market, and Emirates NBD agreed to invest about $3 billion for 60% of RBL Bank. Both were foreign buyers of Indian banks. Neither seems to have counted.
Third, in the second round the other bidder confirmed in writing that its bid was final. So the last lap was a negotiation with a single buyer, which is exactly why "the highest bid won" proves little.
And what was left out: the control premium. Across the world, when a buyer takes control of a company, he pays a premium over the market price, because control means the board, the capital and the strategy. Valuation studies put the median control premium at roughly 26 to 30%. Capital One paid 26.6% over Discover's share price in 2024. Fifth Third paid 20% over Comerica's in 2025. At home, Kotak paid 16% over ING Vysya, and ICICI paid 89% over Bank of Rajasthan. The one famous exception is Credit Suisse, sold to UBS in 2023 at about a 60% discount, but that was an emergency rescue of a collapsing bank, backed by the Swiss state.
IDBI is no Credit Suisse. It earned ₹9,513 crore last year, with Net NPA of 0.15% and capital of 26.65%. Yet its price is described only as a "56% premium to book value", which is simply 1.56x book, while HDFC Bank trades at about 2x. A premium looks generous when the yardstick is chosen small, and it is measured against book, not market, because against market there isn't much of one.
A healthy bank handed over with full control deserves a control premium, not rescue terms. If the price is fair, the two valuation reports will prove it in a day. Publish them.

The Government through @SecyDIPAM says all stakeholders were consulted on the IDBI sale, and that employees' service conditions are protected. I would be the first to welcome both. But there is a gap no one has explained.
The sale agreement has never been shown to IDBI's employees or their associations. Not the full document, not even the clauses that concern wages, promotions, reservation and service conditions. If the people whose working lives depend on those clauses have not seen them, in what sense were they consulted?
Consultation without disclosure is just an announcement. If the protections are real, showing the employee clauses costs nothing. In 2014, Kotak put its promise to ING Vysya's staff in writing. Twelve years later, the people's own Government can surely do the same.
Two simple requests: share the employee-related clauses of the SPA with the staff associations, and place on record when and with whom the consultation took place.

🚨MASSIVE BREAKING : Modi own Former Finance Secretary Just drop Biggest BOMB on fraud Modi 🔥🔥
(MUST Read & Share)
This is pure LOOT 💰
A former Finance Secretary just called
Modi govt's IDBI sale a SCAM on camera 🔥
Not opposition. Their own former top babu 💀
Subhash Chandra Garg, former Finance Secretary,
says the game was rigged from day one.
The goal? Hand the bank to ONE bidder: Fairfax 🎯
Five bidders came in at the start.
Kotak Mahindra, Oak Tree, Emirates NBD...
One by one, all were let go 👋
"Competition should not be good in any way.
The bank must go only to the bidder
we want to sell it to, Fairfax." That's his charge 😡
Then came the masterstroke 🤡
Financial bids were opened FIRST.
Both bids came in BELOW the reserve price 📉
So what did the officers do?
Cut the reserve price from ₹94 to ₹75!
Then the bid of ₹81 suddenly looked "fair" 🎭
"You never open bids without fixing the reserve price."
"This is nothing short of a scandal in India's history." 💣
His final verdict:
"One of the biggest scams and scandal
in India's history of asset sale." ⚖️
Bid dekh ke price ghatao, dost ko bank thamao! Isko kehte hain "Naya Bharat" ka disinvestment, bechne ki jaldi, desh ki fikr zero 🗿🔥
IDBI BANK SALE CASE:
A RESCUE, A SALE & A POSSIBLE SELF-FINANCED TAKEOVER!
1. The Rescue (2019): IDBI was drowning in NPAs. Govt brought in LIC, which pumped in approx. ₹26,367 cr of policyholders money to save IDBI.
2. The Valuation (2025–26): Govt's initial reserve price: ₹94.42/share. Fairfax bid approx ₹75. The reserve price was scrapped, a fresh valuation arrived at ₹75.99. Fairfax eventually bid ₹81/share.
Convenient timing?
3. The Takeover (2026): Fairfax proposes bringing its businesses Go Digit (General & Life Insurance) and IIFL Capital, into IDBI, valued at approx. ₹28,300 cr. IDBI's surplus capital to fund these acquisitions.
Read that again: The bank rescued with LIC policyholders' money could end up using its own capital to buy the new owner's businesses! Amazing.
4. The Conflict: Gurumoorthy Mahalingam was an LIC independent director and investment committee member. He also joined the board of Fairfax-controlled Thomas Cook in Dec 2025, while continuing as LIC director during the IDBI bidding process.
Has the conflict been disclosed?
The bottom line: LIC's money rescued the bank. The valuation was revised downwards. Fairfax gets control. And IDBI's capital may finance acquisitions from its new promoter.
Every step may have a legal explanation. But the cumulative picture demands answers.
Public money is not private capital. LIC policyholders are not ATMs. And a public-sector bank is not a shopping vehicle for its new owner.
Earlier, we called it crony capitalism & scam. Now, apparently, it's called strategic disinvestment.
