This is great math. I continue to say there’s no chance Tesla shareholders approve unless they revive implied per share value above ATH, and likely a good premium above. + even if you argue the vote would pass it has to survive affiliate litigation, so Tesla needs to receive substantial premium to prove they are getting fair value for future potential income and for Elon getting control premium he desires. So you $600 example is probably the lowest level that works.
If he gets cute and tries to do lower value, it also risks a $NVDA or other coming in with competing offer to get shareholders to back that. I firmly believe a transaction does not get done without at least a $600+ offer
Again there is 0% chance it’s approved or avoids affiliate litigation without a 50% premium to $TSLA (on today’s price), which would put price well above ATH’s. Then shareholders have less ground to stand on in suit and approval probability goes up. If he doesn’t offer $600+ it will all be for nothing. He controls SpaceX so there’s way less risk on that side.
By my math if price held today he could offer $600 and still keep 50%+ overall control of both. Although the options are complicated so may be slightly off. Think price needs to be above $200 on $SPCX
