@pauljauregui @Shopify announced Markets Pro yesterday can put them as the merchant of record vs the brand. Putting the onus, and liability on Shopify to file and remit sales taxes. Certainly removes a massive headache for scaling brands.

@JShamess Hired a contractor to re-insulate and drywall a room in a MF unit over a weekend while the tenant was away. We did demo friday, contractor cancelled Saturday morning. Put in about 40 hours of work that weekend getting it done. “Passive” never hurt so bad.

@jayvas Ideally there is an MSA and contractual obligations between acquireco and main customer indicating minimum future revenues. Lenders can get comfort around that provided the main customer is creditworthy.

Failing that, a monster earnout and/or VTB is the only way.
