On April 15, the SEC declared the company’s Form S-4 effective and based on current market dynamics, the company has aligned its de-SPAC valuation to $600 million.
Hadron Energy has also completed a $7.5 million bridge round and advanced MOUs with Paragon Energy Solutions as an I&C supplier and Smartland Energy representing up to approximately 1.8 GWe of potential data center demand.
Our proxy has been mailed and GigCapital7 shareholders are scheduled to vote on May 7. The transaction is expected to close thereafter, subject to customary conditions. Upon closing, the combined company is expected to trade under the ticker $HDRN.

Big news for @hadron_energy: former TerraPower COO Eric Williams is joining us as Executive Vice President of Engineering.
Eric brings nearly 30 years of advanced nuclear and FOAK reactor experience, including helping lead TerraPower through NRC approval of the Natrium Construction Permit.
He previously served as Head of Engineering and Design Authority for the 345 MWe Natrium Demonstration Project and helped scale TerraPower’s engineering organization from 60 to 180 engineers.
Eric will now lead Hadron’s design engineering organization as we accelerate the Halo Micro-Modular Reactor toward commercialization.
