here is the $BBBYQ IRC § 368(a)(1)(G) Type G Reorganization with working video and slides. it will be much better to follow along with visuals.
I think we've solved the puzzle (again). remember, can only use the full NOL if the NewCo issues shares as a substantial portion (or all) payment for the acquired asset.
@XboxSupport 9th January 2026 - Same problem.
We are paying for a service we don't receive - this should be a top priority fixing, it's crazy that this bug has existed *for years*.
thank you everyone for your kind words.
I believe that determining the date-range of the credit bid event can provide a significant insight into when things could begin to get moving for $BBBY. at its core, in the video I describe if the credit bid can occur and Sixth Street still meet the legal standard to be “Impaired”, as defined in Section 1134 of the Bankruptcy Code. I believe they can, because the original date of maturity for the DIP loan was moved to a further date. if correct, I believe the credit bid could have occurred any time between July 5 and July 21, 2023. I would love to hear any opinions on the standard of qualifying as Impaired.
I just want to clarify—I have never said that I expect news on or by August 1. all I am saying is that if the credit bid was executed when I suspect, then news could come any time after it’s two year anniversary. my mention of August 1 is because that is when the voting period began on the Plan, and I suspect that the ownership structure would have been in place prior to voting. secondly, I believe that the Company and Kirkland would not have memorialized that the TSO had been adjusted on July 20 without having the binding commitments for the releases—something else I don’t believe would be possible without the ownership in place.
@PatrickByrne It’s an incredibly counterproductive and wasteful approach to human capital.
Not to mention the happiness of the individual isn’t accounted for at all by forcing kids sit up straight for the full workday.
@PatrickByrne It’s the insanity to sacrifice our children’s prime developmental years to indoctrination on how to be a “good boy or girl”. We need rebels and we need asymmetrical thought patterns, those are treated as noise in the current school dogma.
