Here are some things that I would recommend for any business buyer looking to purchase a company in 2026:
(1) Get your personal finances in order. Banks are increasingly critical of what your personal financial statement and credit score is in 2026. The implications here include the propensity to provide you with a higher loan amount, better interest rate and to take your file more seriously
(2) Understand what you bring to the deal. Are you a corporate finance guy or gal that has a growth thesis, or are you an operator in the industry that knows the nuance of where the puck is going? Know what your X factor is before starting a search
(3) What is your liquidity runway and is your spouse onboard?
I’ve seen folks get divorced during the deal process. Extended search translates into marital strife. Have the tough conversations ahead of time. It’s a blood bath out there to get a deal under LOI at a good valuation. If you start the search process now, plan for at least 12 months before closing. The process rarely goes fast.
(4) Is the industry that you want to acquire in about to be disrupted by AI or stroke of pen? The former question wasn’t as much of a factor a few years ago, but increasingly I’m having conversations with folks that are looking at buying in professional services where they haven’t don’t a good job thinking about the most around their business. The low hanging fruit will go first in professional services - think accountants doing tax returns for folks that have short 1040s. You absolutely need to be thinking about AI and how it might disrupt the industry you’re looking to acquire in
Stroke of pen - Government contracting used to be a very proposed domain in search. Enter DOGE. The landscape has fundamentally changed in the last two years
(5) Elasticity of demand - Think super carefully about how discretionary the service or product offering that you’re acquiring is. If you’re selling white labeled men’s grooming products on an e-commerce platform to high end clients, if the economy slows, sales might slow. If you’re doing pest control or landscaping in an affluent market, the chances are that your end client is going to be less likely to being susceptible to a slowing economy
