Nebius $NBIS introduced an asset-light AI cloud model through infrastructure partnerships.
Partners will finance, own and operate the data centers and hardware, while Nebius provides the architecture, software stack, supply-chain access and sells the capacity through its own sales team.
Nebius expects revenue-sharing, licensing fees, commissions and committed capacity agreements, with minimal incremental capital required.
If this is true, this is a huge red flag for CPO over the coming months.

What are the details?
1) The proxy fight is OVER. According to Toby, “more than 70% of votes cast to date have been in favor of calling a special meeting.” Remember, by not casting a vote, the shareholder is basically voting against Toby. So the fact that 70% of votes cast so far have been in favor of the meeting does not give us any indication that Toby was close to winning this proxy fight
2) Long story short, Toby is dropping the fight because a new judge is now required to get up to speed on the case and Toby says that “the timeline no longer allows us to seat new directors who can oversee a true strategic dual path process on the schedule Fermi requires to achieve its financial and lease requirements.”
3) Toby also reiterated “I remain highly confident in Fermi's ability to secure the tenant, assuming it is the same tenant group my team and I were contracting at the time of my departure”
In Toby’s town hall webinar, he said that he had been wrestling with the decision to end the proxy fight since management is so close to signing a deal and the proxy fight might be interfering. First he changes pace and says he absolutely doesn’t want to regain control at Fermi. Now he drops the proxy battle. This is exactly what shareholders want: for Toby to sit back, let management operate without interference, and watch his net worth triple from Fermi shares
