A real SEC filing is getting passed around tonight like Evernorth just took another major step toward Nasdaq. The document is real. What people are turning it into is another story.
Evernorth filed Amendment No. 7 to its Form S-4 on August 25. Evernorth is the Ripple-linked company working toward becoming a publicly traded $XRP treasury through its merger with Armada Acquisition Corp. II. Ripple is connected through Pathfinder Digital Assets, so seeing Ripple Labs on the filing is completely legitimate. But Amendment No. 7 didn’t change the deal.
The filing says it was submitted solely to correct a clerical error on the signature page. Ripple Labs was supposed to appear as Pathfinder’s sole member and that signature block had been left out. They fixed it. The actual proxy statement and prospectus weren’t changed. That’s literally what happened.
The Evernorth deal is still moving through the SEC process, which is good news on its own. But this amendment isn’t SEC approval, it isn’t the merger closing, and Evernorth didn’t suddenly land on Nasdaq because somebody fixed a missing signature. We don’t need to make it more exciting than it is.
There’s another filing making the rounds claiming Ripple could release additional $XRP from escrow if the CLARITY Act passes. The wording actually exists, but it comes from a third-party ETF prospectus, not an announcement from Ripple. It says Ripple “may” release additional $XRP under certain regulatory conditions. That’s worth knowing. It’s not worth turning into “Ripple is releasing more $XRP when CLARITY passes.” Until Ripple says that’s the plan, I’m not calling it Ripple policy.
The whale headlines need the same treatment. Around 231M $XRP reportedly moved off Binance in whale-classified withdrawals, the largest reading of its kind in six months. That’s interesting and absolutely worth watching. But moving $XRP off an exchange doesn’t automatically mean whales bought 231M $XRP. It means the assets left Binance. Follow the wallets before you tell people what the owners did with them.
I’m also seeing “XRPL officially surpassed 5 billion transactions.” Not from the numbers I can verify. Public dashboards are still showing the cumulative number around 4.5B. I’m not rounding up half a billion transactions because 5B looks better in a post.
Now for the stuff that actually checks out.
RLUSD crossed $2B in total market cap. Ripple confirmed it. Close to $1B is issued on XRPL, with the rest primarily on Ethereum. That’s a legitimate milestone. No bullshit needs to be added to it.
Spot $XRP ETFs also recorded about $23.87M in net inflows on August 25, bringing cumulative net inflows into the area of $1.55B to $1.59B. That’s actual capital moving into regulated $XRP investment products. It doesn’t tell us what the price does tomorrow, but the money is real.
The XRPL amendment vote is getting interesting too. fixCleanup3_3_0 is around 27 of 35 trusted validators, or about 77%. It needs 28 of 35 to cross the 80% threshold and begin the required 14-day activation period. It hasn’t crossed yet, and none of the new 3.3.0 amendments are active. We’re close. We’re not there.
Evernorth is still working through the process of becoming a public $XRP treasury company. Ripple’s connection is real. RLUSD crossed $2B. Money continues entering spot $XRP ETFs. XRPL is getting close to potentially starting the activation clock on its first 3.3.0 amendment.
There’s plenty of real positive news here. Stop trying to turn every filing, transfer and vote into something it isn’t.
