Governance failures
•The Tabung Haji Act 1995 gives the responsible Minister (Religious Affairs) sweeping powers over hajj operations, funds, and investments, despite that Minister typically having only religious-affairs expertise and no independent input before making financial decisions.
•Loose appointment criteria let politicians chair/sit on the Board (2014–2018), politicizing decisions on dividend payouts (hibah), hajj fees, and hajj financial subsidies (HAFIS).
•The Minister could dismiss board members/CEO without cause, used to remove the CEO (May 2021) and Chairman (Oct 2021) before their contracts ended.
•Board members and management held overlapping roles across TH’s many subsidiaries, causing conflicts of interest and diluted focus.
