The SEC has just proposed the regulatory framework that the U.S. crypto industry has been waiting for and it looks remarkably close to what we have been building at Cassator Corp. and the Sl8 RWA platform!
On August 18, the U.S. Securities and Exchange Commission proposed a new 402-page regulatory framework called "Regulation Crypto Assets".
For most people, this is another piece of regulatory news. For us, it is much more interesting. Because when we read the proposal and compared it with the architecture of Initial Sale in the Sl8 RWA platform, the similarities were impossible to ignore.
We have spent years building infrastructure around a simple idea: People, creators, athletes, entrepreneurs and other real-world individuals should be able to launch their own digital economies. Transparently, compliantly and at global scale.
And one of the biggest unanswered questions has always been the United States.
How can a new token be launched? How can capital be raised around it? Can ordinary U.S. users participate? What exactly is the security? The token itself, or the contractual promises surrounding its initial sale? When do securities-law obligations end? And can the token continue existing and circulating after that?
For years, these questions existed in a regulatory gray zone. The SEC is now proposing actual answers.
In March, the SEC formally clarified something that the crypto industry had argued about for years: a crypto asset that is not itself a security can nevertheless be sold as part of an investment contract.
In other words, the asset and the transaction surrounding the asset are not necessarily the same legal thing. That distinction is enormously important.
Imagine a token being launched today. The token itself can have its own utility, supply, ownership and market. But during an Initial Sale, the issuer may also make specific promises:
- launch certain functionality
- develop an ecosystem
- provide liquidity infrastructure
- conduct promotional activities
- integrate the asset into an application
- complete other defined managerial efforts
Those promises may create an investment contract subject to securities laws. But the SEC now explicitly recognizes that an investment contract can come to an end.
Once the issuer has completed or permanently ceased the essential managerial efforts on which purchasers relied, the investment contract can potentially separate from the underlying crypto asset.
The token does not have to carry a permanent “security” label forever.
Now look at how Cassator Initial Sale works.
Our RWA platform was designed to create standardized token launches with transparent tokenomics, predefined supply, clear allocations, lockups, liquidity mechanics, disclosures and a defined use of proceeds.
A typical Initial Sale can have:
- 1 billion tokens created
- a predefined portion allocated to the Initial Sale
- a transparent Initial Sale price based on demand
- defined token allocations
- defined lock-up schedules
- portion of proceeds directed toward liquidity
- portion directed toward marketing and ecosystem development
- a functioning application and wallet infrastructure around the asset
- and, critically, a clearly identifiable set of actions associated with launching and developing that token
This is not a vague promise to “build something someday”. Cassator already has the infrastructure:
- Sl8 already exists
- the wallets already exist
- the RWA platform already exists
- the token infrastructure already exists
- the users already exist
- the payment and crypto rails already exist
Our model is therefore fundamentally different from the classic 2017 ICO: “Send us money today and maybe we will build the network tomorrow.” We are building the opposite: The infrastructure exists first. The asset is launched into it second.
And the SEC's new proposal appears to make that distinction increasingly important. Then comes the really interesting part: raising capital.
Regulation Crypto Assets proposes a new "Startup Exemption" specifically for covered investment contracts involving crypto assets. Under the current proposal, an eligible issuer could raise up to $5 million over a four-year period.
The proposed regime is designed to be dramatically lighter than a traditional registered securities offering. For Cassator, that could eventually mean:
Disclosure → Initial Sale → Token Distribution → Unlocks → on-chain ownership. Plus engagement between all participants inside one ecosystem.
Importantly, this is a proposed framework, not a rule currently available for use, and any future implementation would have to satisfy the final SEC requirements.
And $5 million is only the beginning. For larger offerings, the SEC is proposing a separate Fundraising Exemption allowing eligible issuers to raise as much as: $75 million during a 12-month period.
Larger offerings would naturally come with more extensive financial disclosure, reporting and investor-protection requirements. But think about what this means structurally.
The conversation in Washington is no longer: “How do we stop token launches?”. It is increasingly becoming: “What rules should legitimate token launches follow?”. That is a completely different environment for builders.
And there is another piece that may prove even more important than the fundraising exemptions. The proposal introduces an "Investment Contract Safe Harbor".
Conceptually, the lifecycle can look like this:
1. The issuer publicly identifies its representations and promises
2. A non-security crypto asset got sold subject to an investment contract
3. The issuer performs those essential managerial efforts
4. The conditions for separation are satisfied
5. A Transition Report can be filed
6. The investment contract ends, while the underlying crypto asset can continue to exist
That is an extraordinary regulatory concept. It provides something the industry has lacked for more than a decade: a potential legal bridge from capital formation to a functioning crypto economy.
This matters enormously for our vision of tokenizing People! At Cassator, we believe that the next generation of tokenization will not stop with stocks, bonds, real estate or gold. The largest untapped asset class in the world may ultimately be human capital.

People already create enormous economic value. What is missing is infrastructure allowing that value to form digital economies around them.
That is what we are building... Not another meme-token factory... Not another anonymous token generator... Not another speculative launchpad...
A new social and financial infrastructure for launching, distributing and operating real digital economies around real people, while directly engaging with them on the same platform.
And regulation matters enormously if this market is going to become institutional.
There is an important line we believe must remain clear:
- a People Token does not need to represent equity in a person
- it does not need to promise a percentage of someone's future salary
- it does not need to represent ownership of someone's future revenue
- it does not need to be a tokenized share
Those structures can create entirely different securities-law consequences. The much more interesting architecture is a native crypto asset with its own functionality and economy, accompanied where applicable by clearly defined and properly disclosed obligations surrounding its Initial Sale.
That distinction is becoming increasingly important under the SEC's new approach. And it is remarkably close to the architecture we have been developing.
There is still a lot of work ahead. Regulation Crypto Assets is not law yet, it is a proposed SEC rule and is now going through the rulemaking process. The final language can change. There are also important unresolved questions for a platform like ours.
For example, the proposal contains anti-evasion concepts around issuers, affiliates and substantially similar crypto assets. For an RWA platform designed eventually to support large numbers of individual tokens, those provisions will require extremely careful legal structuring.
Secondary-market infrastructure raises separate broker, dealer and exchange questions. Every token will still need to be evaluated based on its actual economic rights, functionality and demand.
Cassator Corp will build any U.S. implementation together with experienced U.S. securities counsel. We have no interest in finding loopholes. We are interested in building an infrastructure that can operate for decades.
But take a step back and look at what has changed. For years, the crypto industry's relationship with U.S. regulation was dominated by one question: Is this token a security?
Now the SEC is building a much more sophisticated framework:
What is the asset?
What exactly was promised when it was sold?
How should that Initial Sale be conducted?
What information should purchasers receive?
When have those promises been fulfilled?
When does the investment contract end?
And what happens to the underlying crypto asset afterward?
This is much closer to how digital assets actually have to work. And that is why this proposal is so important to us.
We did not start building Cassator because of this rule. The rule did not exist, we built the architecture first.
Now, years later, U.S. regulation appears to be moving toward many of the same fundamental ideas:
- transparent token launches
- defined issuer obligations
- clear disclosures
- retail-accessible capital formation under specific exemptions
- crypto-native fundraising
- a path for a non-security crypto asset to exist beyond the investment contract surrounding its launch
For a company building infrastructure for tokenizing People, that is not a small regulatory update. It could be the beginning of an entirely new market.
Our objective with Cassator Corp and Sl8 RWA platform is much larger than launching a few tokens. We are building the infrastructure for potentially thousands and eventually far more individual token economies.
And, if this regulatory direction continues, with something the U.S. crypto market has desperately needed for years: clear rules of the road.
We have been building for this moment. Now the regulatory world may finally be catching up.
P.S.: more news to come including XRP Ledger infrastructure integration, new wallets features like "Trading", accruals transition from "APR" to "APY", CST token launch etc.
