Fannie and Freddie investors’ win on the breach of implied covenant claims carries a significant level of protection for shareholders and is a huge deal for the sanctity of public markets at a time when socialism is creeping up on the left.
Private property (shares of Fannie and Freddie) cannot be arbitrarily zeroed out by an overreaching majority holder.
If the GSEs are to be worth $500B+, they need to be listed on the NYSE without the fear of a future sweep. The senior preferred liquidation preference needs to be deemed paid off to clear the decks for the Gov’t to exercise their warrants to own 80% of the publicly listed companies- worth more than $400B.
The capital framework should be adjusted to eliminate the duplicative and unnecessary buffers. At 2.5% plus a paid for line of credit (the liquidation pref can be converted into one) would constitute a fortress balance sheet to weather more than 10x of credit losses from the 2008 crisis. @pulte@SecScottBessent@realDonaldTrump
