Okay, I might be looking too much into this, but the $GME / $EBAY timeline is pretty damn interesting.
TD has been all over this story.
GameStop raised $1.5B in 2030 convertibles through TD Securities. Then another $2.7B in 2032 convertibles. TD again.
Then comes eBay.
GameStop builds exposure to another 39,046,658 $EBAY shares using put/call pairs.
Counterparty? TD Bank.
TD Securities also provides the highly confident letter for up to $20B in financing for the eBay acquisition.
Now here's the part I can't stop looking at...
June 17: eBay annual meeting
July 15: GME decides to physically settle all 39M+ shares from the TD position
July 17: Settlement completes. GME now has actual shares and voting power.
August 16: 30 days
August 31: 75 days since eBay's annual meeting
September 1: 👀
Why does that matter?
eBay's bylaws require shareholders requesting a special meeting to have at least 20% net-long and to have held the qualifying shares for at least 30 days.
There's also a 75-day restriction involving substantially similar matters recently presented to shareholders.
I'm not saying GME has the 20%.
I'm definitely not saying there's a meeting September 1.
I'm just wondering...
Why choose to physically settle 39M+ shares when they did and why turn economic exposure into actual voting power? Maybe it's nothing.
Most people receive equity and never really understand what they own.
Quick guide:
• RSU — shares delivered when they vest. No exercise price.
• RSA — shares issued upfront, usually subject to vesting/forfeiture.
• ISO — employee stock options with potential US tax advantages.
• NSO — stock options commonly used for employees, advisors and contractors.
• Warrants — right to buy shares later at a fixed price.
• SARs — you receive the increase in share value, not necessarily the shares.
• Phantom Stock / VSOP — tracks share value, but usually gives you no actual ownership.
• PSOP — equity linked to hitting performance targets.
Before accepting any equity package, ask 6 things:
How many shares or units do I get?
What % of the company is that on a fully diluted basis?
What is the vesting schedule?
Is there an exercise/strike price?
What happens if I leave or the company is sold?
What tax do I owe, and when?
The headline value of an equity grant means very little without these answers.
