$MMTLP Another 🧵in response to the November 6th, 2023, FINRA MMTLP Supplemental FAQ attempting to explain their actions regarding the corporate actions and trading halt.
https://t.co/4TqV14Z2TM
FUN FACT: @FINRA has used the "Investor Insights" content section of https://t.co/7LDOwaEkWv to provide educational tools catered to retail investors for 8 years. Guess how many "articles" have ever been centered around a single ticker? TWO and both were addressing #MMTLP. Ticker based FAQ's from FINRA are even more rare than a U3 Halt.
Link to prior #FINRAfraud FAQ rebuttal:
https://t.co/y9Zs2d3za5
While FINRA attempts to cast blame on the issuer and their corporate action, what they fail to address, or intentionally ignore, is the issuer’s Corporate Action was submitted with ample time for an exhaustive review, and then rewritten by FINRA at the eleventh hour; an action FINRA declares they lack authority to do in their various communications and publications. Conveniently absent from all of FINRA’s FAQ’s, the corporate action’s instructions were so confusing to the impacted parties (including, among others, the DTCC), FINRA failed to appear at a scheduled meeting meant to provide guidance and clarity to those parties. Coincidentally, FINRA took these actions knowing there was possible fraudulent activity in the trading of MMTLP, as evidenced by their email correspondences with the Securities and Exchange Commission (SEC) beginning in late November 2021 through the morning of December 5, 2022 when they reviewed of the Electronic Blue Sheets (EBS) – none of which they have publicly admitted to as of yet in any of their FAQ’s.
FINRA continues to receive questions regarding the circumstances surrounding these events because of the lack of real transparency with both the investing community and the multitude of Congressional inquiries to FINRA and directly to SEC Chair Gary Gensler. Instead, FINRA elicits more suspicion by the complete lack of transparency, misdirection of the core issue of the MMTLP situation (were investors defrauded with counterfeit shares), and finally, their refusal to provide a certified audited share count of the 105 broker/dealers holding open short and long positions in MMTLP, something recently ordered, in an unrelated case, by a federal judge in In Re Sorrento Therapeutics, Inc.
From the outset, FINRA attempts to disparage the grassroots retail community that evolved out of the MMTLP situation’s central issue and feigns a lack knowledge of what is meant by the term “counterfeit shares.” Rather they describe the situation using the more innocuous industry term “naked short selling” as if to imply the selling of US Securities without having a proper locate somehow legitimizes the actions of market participants and magically makes the practice legal and viewed as normal market mechanics. It doesn’t. 🤨
Investors’ concerns are further legitimized as broker/dealers (FINRA’s members) have made attempts by shareholders of MMTLP to transfer their shares to Next Bridge Hydrocarbon’s transfer agent confusing and prohibitive with untruths, conflicting instructions, exorbitant fees, and excessive timelines, with many even refusing to transfer the shares at all. More egregious are documented occurrences of FINRA’s member firms terminating customer relationships and closing accounts of shareholders requesting transfer of their MMTLP shares to the issuer’s transfer agent, a process that enables their shares to be directly registered in the shareholder’s name, in book entry, with the stock issuer. This is particularly ironic given the SEC’s recent publication outlining the benefits of direct registration of US Securities.
The following response provides a rebuttal to FINRA’s FAQ and calls on them to definitely address the questions posed to them by MMTLP investors and Congressional Representatives.

JUST IN: AG Bondi says that there is a DOJ task force investigating and prosecuting anyone involved in fraud that DOGE uncovers: "We're coming after you."
Whoever thought that an immunity-protected SRO packed with industry firms would make fair and unselfish financial market decisions? The idea of FINRA with SEC oversight was a poor one. The market has suffered and devolved because of it. #GME #MMTLP $MMTLP #REGULATORFraud
Ready? Time for more questions about $MMTLP
These come as shareholders have fought for 21 months to get an independent audited aggregate share count for MMTLP and have gotten only lip service from regulators or Congress.
One shareholder, Scott Traudt, @greenhills303 delivered subpoenas Tuesday to Citadel for its trading records in TRCH.CNT, NXBR and MMTLP
He also delivered a subpoena to Hilltop Securities (my tweet is linked below)
Here are my questions:
QUESTION 1:
Did trading in MMTLP violate the Anti-Money Laundering laws in securities that the DTCC is expected to guard against?
QUESTION 2:
Did MMTLP trading violate RICO statutes?
Some background for more specific questions:
Tiger Brokers is a global broker in Asia.
Tiger Brokers assigned the symbol TRCH.CNT
for the Meta Materials Series A preferred (MMTLP) shares.
FINRA issued a questionable and very controversial U3 trading halt in $MMTLP on December 9, 2022.
It has been described as a crime scene frozen in time.
Question 3:
It appears Tiger Brokers and its clearing agent Trade Up Securities allowed trades in NXBR (Next Bridge Hydrocarbons) and TRCH.CNT (MMTLP) on the Singapore exchange since December 9 2022?
If so how and why?
(Fun fact: it appears shares have traded for as much as $1000+ a share)
More Background:
Tiger Brokers uses Trade Up Securities to clear its transactions in the U.S. Markets.
Shares are held by the DTCC.
Trade Up is a member of and overseen by FINRA.
QUESTION 4:
Does or has Citadel paid Trade Up for order flow?
QUESTION 5:
Did Trade Up Securities ever send MMTLP shares, or MMTLP shares under a different cusip, overseas through Citadel or some other broker or related party?
QUESTION 5a:
Were any MMTLP shares, or MMTLP shares under a different cusip, sent overseas as part of a payment for order flow agreement?
QUESTION 6:
Why aren't FINRA,the SEC and Congress curious enough about this trading activity to issue subpoenas?
More Background:
In August 2023 @TigerBrokersSG
told its shareholders that Next Bridge Hydrocarbons announced a tender offer, that's a public bid for shareholders to sell their stock.
(This is 8 months after the $MMTLP halt)
I'm told Next Bridge Hydrocarbons never issued a tender offer.
QUESTION 7:
Why did Tiger Brokers say Next Bridge Hydrocarbons made a tender offer?
QUESTION 8:
Did Tiger Brokers sell more $MMTLP shares than it had certificates for?
And if so how many counterfeit shares did it sell?
QUESTION 9:
Why for 21 months have regulators and Congress refused to give or help MMTLP shareholders get an independent aggregate audited $MMTLP share count?
The screenshots below are of Level 2 pre market bid and ask data between August 2023 and March 2024 for both NXBR and TRCH.CPN on the Singapore exchange on the days highlighted.
Level 2 pricing increased from roughly $500 per share to just over $1,000 a share during this time

I am in fear for my life. Therefore, I am making this public declaration: If anything happens to me, please know that I am healthy, not suicidal, and I am a very good driver. I have reasons to believe that my phone is being bugged. My calls are often dropped, and I experience difficulties in making or accepting calls. Additionally, I frequently hear echoes and noises in the background. I am currently involved in a lawsuit against some very corrupt and powerful individuals. Making this announcement public helps me feel safer. The evidence I have is overwhelming, and it seems that those monitoring my calls are aware of this.
Please share this message to ensure my safety. 🙏⚖️🙏

Lots of questions.
Here's the first -
1) Why has Bitech Technologies ( $BTTC) appropriated Torchlight's CUSIP (89102U103) in 2 SEC filings?
NT10-Q in August 2023
13D in May 2024
(that CUSIP is a single use identifier that only belongs to Torchlight)

Take 4 mins to listen to one $MMTLP victim…
@Jason_Sanders81 is a veteran that has served our country for 18 years.
More than 100 veterans on X with a combined 2 million dollars in $MMTLP have been robbed. Robbed of their money. Robbed of 2 trading days. Robbed of time away from family and friends. They fought on foreign soil to come home to fight corruption on Wall Street.
All retail investors need to ban together and fight for our veterans and ourselves. $DJT $GME

Proof - $MMTLP Collision & RICO !!
Just start with Nicole Brinkerhoff @TradeStation Securities Inc. along with Sam Draddy, Patricia Casimates, and Chris Stone from @Finra. Ask them how a Finra Uniform Practice Code (UPC) COMMITTEE Manually decides to implement a U3 Halt a long with Brokers members who are ON that same committee!!! There you go @RepRalphNorman @RepJamesComer @PeteSessions @FSCDems & @nbhydrocarbons
Let's get a hearing already!! #FUPayme

This is a must read. The irony.
@DevinNunes is fighting illegal short selling in $DJT - and the hedge funds he's fighting against are purposely using the 5th US Circuit Court of Appeals in New Orleans...and relying on the Trump appointees considered sympathetic to hedge funds.
If Nunes only gets a resolution for Truth Social, retail investors should take note.
"...The most powerful weapon that hedge funds have against regulators like Securities and Exchange Commission Chair Gary Gensler is no longer white-shoe lawyers or silver-tongued lobbyists. It’s an address in Texas.
The National Association of Private Fund Managers, a little-known group whose main focus appears to be challenging SEC rules, has sat tucked in a Fort Worth law office since its founding in 2022. Its home is 1,500 miles from many hedge fund campuses in leafy Connecticut, and even further from London or Singapore, where its impact is being felt.
But the association’s address at 301 Commerce Street in Texas’s fifth-biggest city is serving a greater purpose. NAPFM, the clunky acronym the association goes by, is giving hedge fund and private equity titans access to what’s quickly become one of the financial world’s most important venues: The 5th US Circuit Court of Appeals in New Orleans...
...The March court filings in the group’s lawsuit against the SEC over its short-selling disclosure rule — different from the case decided this month — identify Simon Lorne, a senior adviser at Millennium and its former chief legal officer, as president of NAPFM. Isaac Haas, general counsel of HBK, is also named as the group's secretary. Both Millennium and HBK were described as members.
HBK has a Dallas office, but NAPFM has noted in court filings that it filed suit in the 5th Circuit because of the group’s location....
NAPFM, along with out-of-town groups as co-plaintiffs, is also trying to persuade courts in the circuit to toss out SEC rules forcing hedge funds to disclose short-selling activities and subject high-speed traders to more oversight.
The SEC is also facing a legal challenge at an appellate court in Atlanta over a massive database to keep better tabs on stock trading. Business groups and Republican-led states also forced the SEC to put on ice new rules requiring corporations to disclose more about their pollution, another cornerstone of the chair’s agenda..."

Be honest Benji, how long have you had your eye on the $TRCH assets?
Did you pivot into renewable energy in some sort of vendetta to seize the assets of Metamaterials (since the the TRCH assets were out of reach)?
In your 9 years of experience in Mergers & Acquisitions, have you employed the tactic of strategically placing board members within target companies?
Why did you merge with Bridgelink?

Huge credit to @ElfCarbon @_TheoM_ & @Stef_carpedm for showing us where to look!
Linked below is the thread concerning their questionable re-use of a CUSIP that shouldn't have been reusable.

$MMTLP It's with a mix of profound disappointment and outright outrage that I address this recent response to my Freedom of Information Act request from the @SECGov. After an agonizing wait of over 70 days, and much correspondence with the researcher assigned to my request, the response I received not only failed to provide the requested information but also showcased a baffling level of incompetence and disregard for transparency.
My FOIA request aimed to obtain correspondence between the SEC and Next Bridge Hydrocarbons within a specific timeframe that was intentionally not too broad because I have seen them use this as a reason to deny requests. I had them pinned. I filed this request LONG BEFORE NBH's PR to specifically see if the item I refer to as "Freedom Eagle 2" was indeed acted on. Since then, we have learned VIA PR that NBH did indeed have correspondence with the SEC, and I sent that PR to them as proof that there would be documents responsive to my request. Today, while the response I got proved me right, it still was nothing short of ridiculous.
Not only did the SEC drop the ball on delivering the requested info promptly, but their excuse for withholding it is downright ridiculous. They're claiming the documents contain confidential commercial or financial info protected under Exemption 4 of the FOIA – a claim that makes absolutely zero sense considering that my request explicitly and specifically called for the exclusion of such information!
This response is a blatant disregard for fundamental transparency and accountability. Not only is it unacceptable in light of the public interest surrounding this issue, but it's unacceptable that taxpayers like us have to endure such delays and bureaucratic bungling when seeking access to information that should be public knowledge because those tax dollars fund the very existence of the SEC!
I will be filing an appeal, and demanding immediate action to fix this egregious mishandling of my FOIA request. Not because we NEED the documents because we now know they do in fact exist, but because this is what the public is entitled to under the law. Furthermore, let this post serve as a message to our Honorable Representatives in government that a deep dive needs to be conducted into the SEC's processing of FOIA requests to ensure future requests are handled promptly, transparently, and by the book.
In my appeal, I will call on the SEC to provide a full rundown on why they dropped the ball and gave such an inadequate and contradictory response to my FOIA request. Although I suspect that we all know why, given that Greg McCabe's correspondence with FINRA indicates that the SEC has outright ignored his inquiries. Shareholders and taxpayers deserve answers, and it's high time the SEC got serious about its obligations under the Freedom of Information Act.
I warned you... I will not rest until justice is served, and the transparency and accountability that we deserve is upheld.
It is, however, nice to know that there are documents that were responsive to my requests. For that, I thank Next Bridge Hydrocarbons. They're fighting for us, ladies and gentlemen. And we WILL continue to backup Next Bridge by reaching out to our political representatives, and pushing for ultimate transparency in the form of a subpoena. One way or the other, ALL of this WILL BE BROUGHT TO LIGHT. It's coming. Tick tock. That is the sound of time running out, and the round room you are trying to find a corner to hide in is getting smaller at the same time.
We WILL NOT LEAVE until we get answers.

#MMTLP OH Yeah! FINRA loves some social media attention, let's give it to them. Let's get it trending! 🔥🔥🔥☄☄☄

Just received this empty response from the SEC regarding #MMTLP. 6 days late and worthless.
COMPLETELY UNACCEPTABLE!!!

For those concerned about #MMTLP and the #MMTLPFiasco, I received a lengthy response from #FINRA (link below). I'm looking forward to talking with @denniskneale on @Kneale_Podcast very soon about this.
Still waiting on a response from you, @SECGov!
