🧵 Nepal's stock market has some serious regulatory gaps. I drafted formal proposals for SEBON/NEPSE along with the white paper.

Please RT & tag anyone who can push this forward :

1) Companies are hiding financials in newspaper corners nobody reads.Quarterly & annual reports must be mandatory on company websites with auto-penalties for delays. It's 2026 — "published in a newspaper" is not disclosure.

2) Directors resign → immediately dump shares → you lose money.There's NO cooling-off law after resignation. A former board member can quit today and sell tomorrow. Proposal: 60-day mandatory notice, enforced for 1 full year post-resignation. Family holdings included.

3) Nepal's PE/VC sector is dying in paperwork.India has 1,200+ SEBI-registered AIFs. Nepal has almost none. The SIF Rules 2019 exist but thresholds are too high, approvals take forever, and funds get taxed TWICE. Proposal: cut VC minimum to NPR 5cr, 35-day approval window, codify tax pass-through, 50% CGT relief on long-term exits. This is how you build startup capital in Nepal.

4) Ministers & MPs can hold listed shares and nobody has to know.This rule covers SEBON staff. It does NOT cover ministers, MPs, or regulatory appointees. Full conflict of interest, fully legal. Proposal: mandatory disclosure before & after office, annual updates, everything public on SEBON portal. Violations → CIAA.

5) MeroShare is calculating your tax wrong. Right now.Bonus shares are assigned Rs. 100 cost in the system. You paid Rs. 0 for them — they came from retained earnings. This inflates your cost basis and distorts your CGT.
Correct formula 👇 New WACC = Your Total Cost ÷ (Old Units + Bonus Units)
This isn't opinion. It's basic accounting. IRD and CDS need to fix this immediately.
