10 criteria to weed out risky Investments (based on my experience). Eliminate if there's a combination of many:
1. Working Capital Intensity: If working capital as a percentage of sales is significantly higher than peers, especially alongside strong sales growth and high valuation, exercise caution. Also, analyze the change in receivables relative to sales growth—rapid growth driven by credit sales indicates elevated risk.
2. Dividend Track Record: Absence of a consistent dividend history is a red flag or, at best, a grey flag.
3. Promoter Selling: No one likes seeing reducing promoter stake. While promoter selling can signal risk, it is not always negative. Selling to reputable institutions (FIIs/DIIs) during early investment stages can be positive. Note that promoter selling may occur through entities not officially classified as promoters.
4. Shareholding shifting towards retail shareholders: An increasing public shareholding coupled with a decline in combined promoter, FII, and DII holdings warrants scrutiny.
5. Auditor and Banker Quality: Beware if the company’s auditor has a questionable reputation and if banking relationships are primarily with lower-tier public sector banks.
6. Valuation vs. Credit Rating: Avoid paying premium valuations for companies with credit ratings below A or A-.
7. Corporate Structure and Related Parties: A large number of subsidiaries and extensive related-party transactions increase risk, especially if promoters operate similar businesses privately.
8. Capex source and Reinvestment Trends: Negative if the Capex is funded only via Debt. For high-valuation stocks, assess reinvestment and capital expenditure patterns to gauge sustainable growth. Compare fixed asset turnover ratios with peers to detect potential “gold plating.” Also, verify alignment between interest costs, depreciation, and fixed assets.
9. Regulatory and Legal History: Check for any past SEBI or court rulings against promoters. AI tools can assist in this due diligence.
10. Management Compensation and Conduct: Evaluate CXO salaries, perks, and the overall conduct and reputation of promoters for qualitative insights.

1. Fundamentals
Look for fundamental changes that can last beyond a quarter, such as:
A. Capex completion or visibility of commissioning in the near future. I combine this with recent EBITDA margin trends for comfort on ROIC.
B. A better balance sheet compared to company peers (better in terms of asset turns, working capital, and/or cash flow conversion from profits).
C. Being early on P/L breakouts that will last beyond a quarter. This comes from studying earnings calls.
D. Moderate debt is an advantage if there are tailwinds—it improves ROE.
E. Valuation—consider EV/EBITDA and CFO yield instead of just a PE check.
2. Technicals
Look for relative stock or sector strength to get cues. For sector strength, I check what percentage of companies in a sector are trading above their 50 and 200 DMAs and compare this with the mix for Nifty 50 and Nifty 500. I check via own Techno Funda dashboard. Individual stock charts are validated by technical analysis champion @singha9327.
3. Shareholding/ Flows
I believe insiders know more than I do, so I check last 12 months insider activity and run aggregated analytics. Often, it gives cues on sectors with relatively high buying/selling - this is a forward-looking indicator for me. For midcaps and large caps, institutional buying and reduced retail holding are positive cues.
Sometimes the traigulation works beautifully across all 3 factors, but even 2 are enough (rest is study).
This might sound complicated, but when my universe consists of 1,500 companies with a market cap above 800 crore, I only need 15 good ideas. The rest of the investing game is about allocation and add/ reduce/ exit decisions, which is more of an art than a science, and sometimes just experience (gut feel) and a good network help.
