Thought I'd try and lay out where $HGRAF is in the redomiciling process. Hope it helps!

TL:DR—A full examination of HydroGraph’s probable redomiciling process follows. Short version is that $HGRAF’s taken significant steps to prepare for redomiciling, but the formal process has not begun. It should commence soon—within a few weeks to at most ~ 2 months.

Once started, completion will take between ~6 weeks up to 3 months or so to complete. Other processes can & will run parallel: Acetylene agreement and Bellville plant construction; pursuit of additional patents, contracts or other material agreements, etc.

The number of senior officials hired lately, and the quality of those hires, suggests that significant news flows are very close (Weeks, not months—though summer slowness may stretch this a bit).

Redomiciling aligns with & accelerates $HGRAF's optimal growth strategy. The prep work is advanced, and the benefits for DoD access, Nasdaq, and U.S. capital/operations are clear. A little patience from shareholders will be greatly rewarded.

As of July 8, 2026 of HydroGraph’s $HGRAF redomiciling preparations have advanced significantly on U.S. expansion but the formal processes have not yet started for the core redomiciling process (shareholder vote, court proceedings, etc.).

Preparatory steps are complete or well underway, including the opening of the Austin, Texas headquarters, equipment and operations shifts from Kansas to Texas, plans for a new Texas production facility, and a June 2026 NI 44-101 filing related to U.S. transition and Nasdaq preparations.

A court date in Vancouver, BC, will be set soon for redomiciling. $HGRAF issued 2025 statements noting plans to “begin redomiciling to Texas” with no Canadian office post-transition, alongside a Nasdaq target originally eyed for early 2026. Those have been delayed as the complexities of the process weighed in.

Major Milestones to Completion:
Board approval:
Directors pass a resolution approving the redomiciling plan/continuance (or plan of arrangement), including the form of US governing documents (e.g., Delaware Certificate of Formation).

Preparation of disclosure documents:
Draft and finalize the management information circular/proxy statement detailing the transaction, fairness, tax consequences, and risks for shareholder review.

Shareholder meeting and approval:
Call and hold a special meeting of shareholders; obtain approval via special resolution (typically ≥66⅔% of votes cast). Dissent rights usually apply.

Court/Registrar process (Vancouver, BC):
Apply to the BC Registrar of Companies for
authorization to continue out of BC. Court hearing and order expected.

BC authorization and filings:
Obtain Registrar authorization; file articles of arrangement/continuance with BC Corporate Registry to export the company.

US domestication/conversion filings:
File required documents with the Delaware processes to effect the redomicile. The company becomes a structured US corporation, incorporated in Delaware and HQ’d in Texas.

Post-completion corporate and regulatory updates:
Update transfer agent, CUSIP, corporate records, bank accounts, tax IDs; file updated disclosures with CSE/OTCQB/SEDAR and SEC (transition to U.S. domestic issuer reporting); notify stakeholders and handle any contract assignments.

Listing and market transition:
Proceed with or complete Nasdaq uplisting application (new or continued ticker possible); potential adjustments to CSE listing status; full integration into U.S. capital markets.

The entire process typically takes a few months once formally launched, depending on court scheduling, shareholder response, and regulatory reviews. It can run in parallel with other initiatives like production ramp-up.
