*Permissibility and Rationale for Filing Revised Form MGT-7 Without Marking the Original Filing as Defective*

Filing of a revised Form MGT-7 should be permissible without marking the original filing as defective, as the MCA has not issued any specific direction or restriction prohibiting the filing of a revised Form MGT-7 in such circumstances. Further, under the earlier MCA V2 system, companies were permitted to file a revised or second Form MGT-7 without requiring the original filing to be marked as defective.

The term “Revise” ordinarily means making changes to an existing document to correct or improve it. Accordingly, the original filing must remain available on record so that the revised filing can be compared with the existing filing and the changes can be identified.

Moreover, if the original Form MGT-7 is cancelled, the company may only be able to proceed with a fresh original filing rather than a revised filing. Therefore, cancelling the original filing would practically defeat the very purpose of filing a revised Form MGT-7, leaving no effective scope for revision.
