15 Investing Red Flags I Have Learnt To Respect

"Markets don't transfer wealth from the foolish to the wise. They transfer wealth from the impatient and unquestioning to the patient and skeptical."

Every bull market creates two things.

Multibaggers and investors who say "Yaar... kaash kisi ne pehle bata diya hota."

Here are a few things that immediately make me uncomfortable while looking at a business.

Not reasons to reject... But definitely reasons to dig deeper.

1. The IPO valuation magic

Private equity investors buy the company 6 to 9 months before the IPO (many a times). Retail investors are then asked to pay almost double the valuation (again good number of times).

Question is simple...

Business mein aisa kya badal gaya in six months? If the answer is only "market sentiment"... I move on.

2. Promoters suddenly discover dividends

Five years of retained earnings. Three months before IPO... massive dividends.

Perfectly legal.

But if cash was available all along... why is the public now being asked to fund future growth?

3. Every second sentence contains AI

Earlier it was Blockchain.
Then ESG.
Then EV.
Now AI.
Buzzwords don't create earnings. Businesses do.

4. Profit goes up. Cash doesn't.

Revenue growing 30%.
Profit growing 40%.
Operating cash flow is flat.

Whenever PAT keeps growing but operating cash flow refuses to follow... I spend more time on the cash flow statement than the P&L.

Cash rarely lies.

5. Promoters keep selling shares

Nothing wrong with selling.

But promoters reducing stake while giving TV interviews saying "Best is yet to come"... Always makes me smile a little.

6. Related party transactions everywhere

Company A pays Company B.
Company B pays Company C.
Company C is also promoter owned.

Aap hi samajhdaar ho...

7. Receivables keep increasing

Revenue growing 30%.
Receivables growing 70%.

Either customers are very generous...
Or accounting is.

8. Debt is called "strategic"

Every debt is strategic.
Until lenders start calling.

9. Auditor resigns

This is one announcement I never ignore.
Auditors don't randomly wake up and resign.
Whenever this happens... I assume there is smoke until proven otherwise.

10. Constant fund raising

QIP.
Rights Issue.
Preferential Issue.
Warrants.
Convertible instruments.

If a company keeps raising money every year... maybe the business isn't generating enough itself. take so many examples between 2023 to 2026 itself.!

11. Conference calls sound like motivational speeches

When management spends more time talking about India's opportunity than their own numbers...

Something feels off.

12. One customer contributes half the revenue

Or top 5 customers is 90% of revenue.. Looks fine...
Until that customer leaves.
Concentration risk is real.

13. Valuation is justified only by TAM

Huge Total Addressable Market.
Huge opportunity.
Huge dreams.
Tiny profits.

You have seen this movie before guys..

14. Everyone loves the stock

Your intern...
Your Gym trainer...
Your cousin...
Everyone owns the same stock...

Congratulations.

You are probably late.

15. The promoter becomes more famous than the company.. Haha, my fav one this is.!

Too many podcasts.
Too many interviews.
Too many reels.
Too many awards.

Too little discussion about return on capital.

The market eventually values earnings... not followers.

Different sectors.
Different managements.
Exactly the same lesson.

Investing is not just about finding the next multibagger. It is equally about avoiding businesses that quietly destroy capital.

Because in markets... The easiest way to double your wealth is to first avoid halving it.

Çocuğun ifadesinin ardından hakim kararını açıkladı:
-" Çalmak, özellikle EKMEK çalmak çok utanç verici bir suçtur. Ve işte hepimiz bu suçtan sorumluyuz. Bu odadaki herkes ve ben de bu suçtan sorumluyum.
O zaman tüm mahkeme katılımcıları 10 $ ile ceza alacak. Siz her biriniz 10 $ gönderene kadar kimse mahkeme salonundan ayrılmayacak."
Hakim de 10 $ ' ını verdikten sonra aç çocuğu polise teslim eden markete de 1,000 $ para cezası verdi.
Kararı duyduktan sonra çocuk gözyaşlarını tutamadı ve ikinci karar okunurken hakimi görünce heyecanlandı.
Hakim gözyaşlarını saklamaya çalışarak, salonu terk etti. Hakimin son sözleri bunlardı:
-"Bir kişi EKMEK çalarken yakalanırsa, o cemaatin, toplumun, devletin tüm insanları utanmalıdır."

1987. A room in New Delhi is thick with the smell of old files & cold tea. The United States has just delivered a stinging slap to the face of the Indian Republic. They have officially refused to sell India the 'Cray X-MP' Supercomputer, the most powerful machine on Earth, claiming that India would use it for nuclear weapons.

The American officials mockingly suggest that India does not even have the electricity to keep such a machine running. In the middle of this national humiliation, a young, soft-spoken engineer named Vijay Bhatkar is asked by then Prime Minister Rajiv Gandhi: "Can we build our own?" Bhatkar does not hesitate. He looks at the No of the West & says: "We will not just build it; we will build it faster than you can ship it."

The Americans did not just stop at refusing the sale; they actively lobbied other nations to ensure India remained digitally blind. They believed that w/o their Logic Gates, India would remain a 3rd world backwater.

Bhatkar realized he could not replicate the Single-Processor behemoth of the Cray. Instead, he turned to Parallel Processing. He decided to stitch together 1000s of low-cost, off-the-shelf microprocessors. It was like building a giant's brain out of the neurons of ants.

In 1991, while the West was still celebrating its monopoly, Bhatkar unveiled the PARAM 8000. It was not just a computer; it was a Gigaflop monster.

To prove the PARAM was real, Bhatkar ran a standard global benchmark test. The results were sent to an international conference in Zurich. The PARAM 8000 was ranked as the 2nd most powerful supercomputer in the world, behind only the American machines. But there was a twist: the PARAM cost a fraction of the Cray, performed better in tropical heat, & was built in just 3 years.

When the PARAM 8000 was 1st turned on, the team did not have a high-tech cooling system like the Americans. They used industrial-grade desert coolers & adjusted the airflow manually. It was the ultimate Jugaad that defeated the most sophisticated tech embargo in history.

A major US newspaper ran a story with the headline: "Denied supercomputer, Angry India does it!" The ghost of the Native Engineer had officially entered the silicon temple. Vijay Bhatkar’s history is the story of how India became the IT Capital of the world.

Bhatkar founded the Centre for Development of Advanced Computing (C-DAC). He did not just build a machine; he built an ecosystem. Every software engineer in India today stands on the shoulders of the man who proved we did not need the West's permission to compute. Bhatkar was the 1 who realized that if computers only spoke English, 90% of India would be left behind. He led the development of GIST (Graphics & Intelligence Based Script Technology), allowing computers to work in Indian languages. He gave the Machine a local tongue.

Today, Bhatkar is a Padma Bhushan awardee, but he lives a life of deep spirituality & simplicity. He vanished from the corporate headlines to become a philosopher of the digital age.

The West thought they could freeze India’s future by withholding a single machine. They forgot that the Indian mind does not need a 'Cray' to think; it only needs a 'No' to ignite. Forget building a supercomputer; Bhatkar built a mirror, & for the 1st time, the West had to look into it & see that the primitive colony had become the master of the code.

87 परीक्षाएँ रद्द, 9 करोड़ बच्चों का भविष्य प्रभावित।

148 घोटालों में सज़ा हुई - सिर्फ़ 1 को।

CBI ने 17 मामले लिए, ED ने 11 - किसी को सज़ा नहीं।

NEET, AIPMT और अन्य मेडिकल परीक्षाओं में अकेले 15 घोटाले।

और सबसे शर्मनाक बात:
इन घोटालों में जिम्मेदार किसी अधिकारी या मंत्री का इस्तीफ़ा नहीं हुआ। हटाए जाते हैं - फिर चुपके से बड़े पद पर बैठा दिए जाते हैं। चोरी कराने वालों को इनाम मिलता है, और परीक्षा देने वाले बच्चे जान गँवाते हैं।

मोदी जी - कितने ऋतिक चाहिए आपकी जवाबदेही जगाने के लिए?

मेरे युवा साथियों, आपका दर्द मेरा दर्द है। आपकी मेहनत मेरी मेहनत है। आपका भविष्य चुराने वालों को जवाब देना ही होगा। चाहे जितना वक्त लगे, किसी को बख्शा नहीं जाएगा - ये मेरा वादा है।

到了2000年后手机行业开始大规模发展，一次偶然的机会她的手表玻璃厂接到了TCL手机屏幕的订单，她看到了手机玻璃市场的巨大潜力，于是迅速成立了蓝思科技，专门负责手机玻璃的生产研发和销售，一开始只做国产手机和山寨机，但是直到有一次想谈下摩托罗拉的订单，但外企的质量要求非常严格，她赌上几乎全部的资源配合摩托罗拉，拿下了全球销售超过1亿台的V3订单，直接把蓝思科技推到了行业领先位置，随后顺利拿下诺基亚、三星等外企。
关键的转折点又一次出现在了2007年，当时乔布斯发布初代iPhone，彻底把手机往全玻璃触屏的方向变革，乔布斯那变态的工艺要求全球都找不到符合的厂商，周群飞敏锐的意识到这又是一个巨大的机会，于是带领团队和苹果工程师联合攻关了3个月，突破关键工艺，成功量产了第一代iPhone玻璃面板，从此拿下苹果长期合同，后续的iPad、MacBook等几乎所有苹果设备全部都交给了蓝思科技，也帮助蓝思科技在触摸玻璃面板领域成为全区最大公司。
这也是为什么她能坐在库克旁边，那为什么马斯克也坐在她旁边呢？
蓝思科技在玻璃面板干到全球第一后，开始往更加多元的智能化设备发展，包括汽车座舱和机器人，其中汽车领域包括车窗、中控等已经拿下了特斯拉、宝马、奔驰、理想等30家车企，机器人领域则主要负责关节、传感器等部件，这些都和马斯克的业务有深度重合。
一个15岁辍学只有初中文凭的女生，从湖南农村出来白手起家成为中国女首富，40年后进入中美会谈，坐在了马斯克和库和中间，这就是周群飞的故事。
