We respectfully urge the Ministry of Corporate Affairs (MCA) to consider introducing a one-time Company Law Settlement Scheme (CLSS) or Companies Fresh Start Scheme (CFSS) in the interest of ease of doing business and to support Companies and Professionals facing ongoing challenges due to:
1. Persistent technical issues on the MCA21 V3 portal
2. Inadvertent non-compliance arising from filing failures
3. Accumulation of heavy penalties and additional fees, especially under Section 92 (Annual Return) and Section 137 (Financial Statements) of the Companies Act, 2013
🙏 Our Key Requests:
1. Launch of CLSS/CFSS (2025): A limited-time settlement/amnesty scheme that: - Allows defaulting companies to file overdue returns without additional fees or prosecution - Encourages voluntary compliance and cleanup of the register of companies
2. Capping of Additional Fees under Section 92 and Section 137: As per the Companies (Registration Offices and Fees) Rules, 2018, and in the spirit of fairness, we request: -
Implementation of a reasonable cap on additional fees - Especially for smaller companies, startups, and inactive entities which have limited financial bandwidth
Why This Is Needed Now: - A large number of companies and professionals are stuck in procedural bottlenecks despite genuine intent to comply. - The current penal regime disproportionately affects small businesses and startups, contrary to India’s ease of doing business objectives. - Prior schemes like CLSS-2014 and CFSS-2020 were highly successful in improving compliance and easing burden on the adjudication system.
