In the legal relationship between a #carrier and a #shipper, the terms of the contract of carriage hold significant importance. When a contract of carriage is established and a bill of lading is issued, the carrier and the consignor are bound by the provisions of the contract of carriage rather than those of the bill of lading. The bill of lading primarily serves as evidence of the goods being received by the carrier. Typically, a bill of lading is created after a pre-existing contract of carriage is agreed upon to allow time for the goods to reach the port before the ship's arrival for loading. Contracts of carriage are based on mutual agreement, requiring no formalities for their formation. Parties involved often focus on key aspects such as locations for taking over, delivering, loading, and unloading goods, as well as the #freight charges, leaving other details to applicable #laws and carrier's standard #business terms.
However, the sequential process of establishing a contract of carriage first and then issuing a bill of lading opens the possibility for discrepancies between the two documents. If the bill of lading contradicts the agreed terms of the contract of carriage, the latter prevails in governing the relationship between the shipper and the carrier. The bill of lading serves as initial evidence of the contract's terms, similar to a waybill, but can be challenged if necessary. Parties can agree that the bill of lading supersedes the pre-existing contract of carriage, preventing the introduction of evidence against its contents. Ultimately, the legal relationship between the shipper and the carrier is guided by the contract of carriage, with the bill of lading serving as supportive documentation that can be subject to scrutiny if needed.
