After we highlighted the issue last week, it is good to see that Family Bank has now issued a revised Information Memorandum with expanded disclosure on Standard Investment Bank’s role and the MansaX-linked holding.
—The revised declaration now states that SITF MansaX Special Fund - KES, a collective investment scheme managed by SIB, holds 81.27M Family Bank shares, representing ~4.89% of issued share capital, but says the shares are held as scheme property for fund participants and not as SIB’s proprietary or beneficial assets.
—SIB also now says its fund management and transaction advisory functions are operationally separate, and that conflict-management arrangements mean the MansaX holding does not impair its independence as Transaction Advisor.
