आज ED द्वारा वेदांता ग्रुप पर की गई कार्रवाई FEMA के अंतर्गत royalty remittances से संबंधित alleged contravention की जांच है। FEMA एक civil adjudicatory statute है। ED को Section 37 के तहत जांच की शक्ति मिली हुई है, जिसमें Income Tax Act जैसी शक्तियाँ (search, seizure, summons) शामिल हैं।

▪️ इस तरह की कार्रवाई में सामान्यतः arrest नहीं होती। प्रक्रिया investigation -> complaint before Adjudicating Authority (Section 16) -> adjudication -> penalty (अधिकतम 3 गुना राशि तक) तक जाती है। ये कोई criminal prosecution नहीं है जब तक specific mens rea और provisions invoke न हों।

▪️ JP Associates (Jaiprakash Associates Ltd) के insolvency resolution में NCLAT ने 4 मई 2026 को वेदांता की दोनों अपीलें खारिज कर दी हैं। ट्रिब्यूनल ने स्पष्ट रूप से कहा कि Committee of Creditors (CoC) का निर्णय commercial wisdom के प्रयोग में लिया गया था और यह न तो arbitrary है और न ही perverse।

▪️ IBC के तहत settled legal position (K. Sashidhar और Essar Steel judgments सहित) यह है कि कोर्ट CoC के commercial decision में हस्तक्षेप नहीं करते, जब तक Section 30(2) या 61(3) का उल्लंघन न हो। Highest headline value या NPV अकेला criteria नहीं होता। Upfront realizable value, recovery timeline और feasibility जैसे factors को CoC प्राथमिकता दे सकता है - यही creditors (खासकर financial creditors) का commercial interest है।

▪️ वेदांता द्वारा दी गई revised bid post-deadline थी, जिसे CoC ने process integrity के आधार पर नहीं माना। NCLAT ने Resolution Professional द्वारा किसी material irregularity का भी कोई आधार नहीं पाया।

▪️ Supreme Court ने पहले ही interim stay से इनकार कर दिया था। अब NCLAT का फैसला आने के बाद भी “अभी NCLAT में मामला चल रहा है” कहना तथ्यात्मक रूप से गलत है।

ED की जांच और JP Associates का insolvency resolution - दोनों प्रक्रियाएं अलग-अलग statutes के तहत चलती हैं। एक FEMA contravention की जांच है, दूसरा IBC के तहत CoC की commercial wisdom का मामला है जिसकी judicial scrutiny सीमित है।

दोनों घटनाओं को सीधे causal link से जोड़कर “retaliation” या “commercial conspiracy” का narrative गढ़ना न केवल factually incorrect है, बल्कि legally untenable भी। अदालतों ने वेदांता को पूरा सुनवाई का मौका दिया और merits पर फैसला दिया। अगर कोई mala fide या procedural bias होता, तो NCLAT/SC इसे नोटिस करते।

ऐसे narratives institutions (CoC, NCLT/NCLAT, ED) की स्वतंत्रता और credibility को कमजोर करने का प्रयास करते हैं। Corporate India के लिए असली सबक यह है कि regulatory compliance (खासकर FEMA royalty, transfer pricing और remittance rules) को robust internal controls के जरिए ensure किया जाए न कि business rivalries को regulatory action से जोड़कर conspiracy theory बनाई जाए।

जब तक कोई concrete evidence of mala fide या selective targeting न हो, तब तक किसी भी agency की जांच को political or business rivalry का नतीजा बताना speculative और misleading है।
