AMD to acquire ZT Systems—An Overview and Outlook 👇🏻
Today, AMD announced a definitive agreement to acquire ZT Systems, a provider of AI and general-purpose infrastructure for the world’s largest hyperscale providers.
Deal Size: $4.9 Billion in cash and stock
Why it matters: Over the past year, AMD has been aggressively investing in software and consulting services companies to enable it to grow more rapidly into what it has described as a $400 Billion AI Chips (GPU, XPU, Accelerator) Market (by the end of 2027). While this forecast exceeds our own for AI chips, the company sees a sizable opportunity but has struggled to compete with NVIDIA without certain capabilities that it has been aggressively acquiring.
From a software perspective, AMD has made significant progress with ROCm, and a series of acquisitions including its most recent Silo AI has added to its capabilities. Also, what has been described as software evolving to higher abstractions for AI software development (PyTorch, Jax, etc.) could be an advantage, but this has been more speculative than reflective in numbers to date.
Having said that, AMD is the unchallenged number two in DC AI GPUs and has already seen its $4.5 billion (annual forecast) Instinct portfolio swell—however, many investors and likely AMD insiders all see the opportunity as substantially larger given the strong capex demand for AI chips and the perceived interest in a meaningful competitor to take on NVIDIA’s strong moat and pricing power.
A note on the integration and other expectations: The partnership between ZT and AMD has already existed and the companies have long collaborated on EPYC designs and there was an existing work stream with the MI line. This should bode well for the integration, culture, and growth that can be realized quickly.
On the systems manufacturing side, it seems that AMD and Su do not intend on going down the path of full systems business like NVIDIA has with DGX. There are overlaps with ZT servicing Intel and NVIDIA and those relationships. The split off should suffice.
I also think AMD will have some positive responses for going down this path but not entering the full systems space. Hyperscalers are already trying to take on more of an open system approach and seek to have choice and in many cases the opportunity to build homegrown AI chips that can be paired with different CPU head nodes and networking/storage architectures. This could open the door to strong alignments with a partner like Broadcom, which is pushing a more open standard approach.
Final thought: A significant deal for AMD. It moves the needle and sets the company up for more growth in an area where growth is expected. NVIDIA isn’t going to overreact to this, nor should it, but it is a reminder that competition is coming and there is meaningful opportunity for AMD here. And Su knows it and continues to run her play on how it can capitalize on the AI demand that is growing and will continue to do so.

A deeper dive into WWDC and the launch of Apple Intelligence. 🗒️
First of all, I find it funny that we live in a world where everything has to be so binary.
It feels like we have two distinct camps following WWDC:
1. Those that are absolutely blown away by the amazingness of the Apple Intelligence offering.
2. Those that are asking for their two hours back.
Sorry to be “That Guy,” but this lands somewhere in the middle.
If I’m Apple, the first goal has to be to shore up your installed user base. This includes iPhone, Mac, iPad users and show them that they can depend on Apple to deliver AI features on device within its ethical construct—all the while, delivering enough incentive to drive an upgrade cycle. I genuinely believe Apple hit the mark here and is offering a number of AI use cases on device that its users will eat up. ✅
The second goal, which was more aspirational, was to show that Apple is genuinely innovating beyond just system level implementation of AI into its devices. I’m sure the Apple purists will argue with me when I say I didn’t see this in yesterday’s presentation. Apple has long used AI on device for a variety of use cases and has built its own AI engines to do so. In the era of multi-modal generative AI, I would have liked to see Apple lean into building and developing its own LLM(s) and showing more industry leadership here. This was just okay for me—and I think this is where a lot of people were disappointed. Apple once again more of a follower than a leader here. ❌
And while people are losing their minds about Elon Musk threatening to not use Apple if it embeds OpenAI into its engine. The whole ChatGPT integration was really confusing for me. How does Apple assure privacy with in its privacy construct? And moreover, it feels like Microsoft is a huge beneficiary of Apple going that route. I was never particularly happy with Apple going all in on Google or Microsoft for its Gen AI strategy. Same with what it has done with Search. Feels like a missing piece of its vertical strategy.
So, it was just okay for me. Good iterative products and capabilities. But it felt a bit like what Microsoft has been doing with Copilot for 18+ months and what the Copilot+PC is promising its users as well. And yes, Apple is not Windows. But the TLDR for me is…
Apple being good is boring. I want Apple to be great. Not just manage numbers and sell units. But innovate and change the world. I guess that is a lot to ask, but that is the Apple I grew up with…But not the Apple I see today.
I do think the supercycle will come—so Apple did do “enough” here.
Yesterday, I joined @NewsNation to weigh in on on the topic. It is a nuanced one and not black and white at all.
What did you think of WWDC and Apple Intelligence?
