MY TWO CENTS ON THE NYDA BOARD CHAIR AND CO.

If a journalist’s questions to the chairperson of a public entity can be framed as harassment, then Parliament should prioritise getting answers to those same questions in public.

I wish the joint sitting had placed those questions at the centre of the engagement.

All of them.

Because accountability cannot depend on whether the person being questioned feels comfortable.

The NYDA is a public institution. Its board does not exist to protect personalities. It exists to protect the mandate of an institution that is supposed to serve young South Africans.

We also need to start holding the people who appoint and approve these boards to account.

When people are placed on boards without sufficient regard for independence, maturity, competence, courage, ethical judgment and fiduciary discipline, the institution eventually pays the price.

And when the institution is publicly funded, the public pays the price.

For those who aspire to serve on boards, please learn to do proper due diligence before you accept a board seat.

We recently shared an NYDA board committee mandate on our Board Mandate WhatsApp group, and before giving approval, I was reluctant because I know the harm and damage a dysfunctional, conflicted or poorly governed board can do to one’s non-executive director career.

Do not be so flattered by the appointment that you forget to interrogate the room you are entering.

In one of our programmes, we teach this at length.

Listen, go as far as scrutinising every person you will be serving with to assess whether there is alignment with your values, principles and governance posture.

Because once your name is attached to a board, you do not get to say, “I did not know.”

You are now part of the governance structure.

Based on the clips publicly circulating so far, the deputy chairperson appears to be one of the few people in that room who understands the seriousness of the mandate.

But guess what?

Reputationally, he is not insulated from the conduct of the board as a collective.

People are not just mentioning one name. They are saying, “the entire executive and its board…”

That is reputational damage.

Before you join a board, do your due diligence.

The title is not worth the reputational risk of sitting in a room that was never serious about governance.

So please, let us hold these people accountable.

The time is NOW.

From the Madlanga Commission, to Home Affairs, to SOE and public entity boards being changed or placed under administration, to whistleblowers unearthing what has been hidden in plain sight, to our own favourites being listed as alleged accomplices and beneficiaries of corrupt riches, it is clear that the rot can no longer be managed quietly.

The best time to stand up, ask questions, demand accountability and deal firmly with corruption is now.
