They overruled the two big proxy advisers, Glass Lewis and ISS, which opposed the move.
This is huge. And it raises a serious corporate governance question: Do boards have a duty to leave blue states that punish business?

There have been tens of thousands motor carriers, often small single truck operators, that have filed for bankruptcy or become insolvent due to the flooding of new entrants into the industry.
They have children and mortgages as well.
It is tone deaf when you only talk about non-compliant immigrants that lost their CDL, but fail to mention the devastation of hard working American families that have suffered from the industry becoming flooded with drivers that cheated the system to get a CDL.

I'll share more details shortly so turn on notifications, this is VERY important.
Someone said $OPEN can't scale and is destined to fail.
First, what is scale? There are roughly 4 million homes sold in the US every year. Opendoor currently does about 511/week which annualises to ~26,500 homes. That's 0.7% of the market.
0.7%. That's where we are today. In one of the worst macro environments for housing in decades. Elevated mortgage rates. Declining transaction volumes. Affordability at historic lows.
And the business is working. New cohort margins at 6%+. Best cohort economics in company history. Aged inventory crushed from 51% to 10%. Homes selling 3x faster than the overall market. Q2 guided for EBITDA breakeven.
All of that at 0.7% market share. In a terrible macro.
Can the AI engine repeat this at higher volumes? It already has. Opendoor sold 39,000 homes in 2022 under the OLD model with the OLD tech and the OLD team. That was roughly 0.65% market share. Today they're back at that level but with a fundamentally better cost structure, AI pricing engine, and full stack.
The AI doesn't get tired. It doesn't need more offices. It doesn't need more loan officers. The fixed OpEx is $33M/quarter today vs $66M when they last had this volume. Same throughput, half the cost. That's what scaling on software looks like.
The path is clear: prove profitability first, then scale profitably. Kaz guided EBITDA breakeven in Q2 and net income positive by Q4 2026. Once profitability is proven, you scale the machine. Every additional home at 6%+ margins drops straight to the bottom line.
Now the math on what scale actually means (4M US homes/year, $20K profit/home, 963M shares):
1% market share (769 homes/week):
→ 4M × 1% = 40,000 homes/year
→ 40,000 × $400K = $16B revenue
→ 40,000 × $20K profit = $800M
→ ÷ 963M shares = $0.83 EPS
→ 30x → $24.90 | 45x → $37.40
2.5% market share (1,923 homes/week):
→ 4M × 2.5% = 100,000 homes/year
→ 100,000 × $400K = $40B revenue
→ 100,000 × $20K profit = $2B
→ ÷ 963M shares = $2.08 EPS
→ 30x → $62.30 | 45x → $93.50
5% market share (3,846 homes/week):
→ 4M × 5% = 200,000 homes/year
→ 200,000 × $400K = $80B revenue
→ 200,000 × $20K profit = $4B
→ ÷ 963M shares = $4.15 EPS
→ 30x → $124.60 | 45x → $186.90
The stock is ~$5.50. At just 1% market share the math says $25-37. At 2.5% it says $62-93. And 2.5% is nothing. That's 1 in 40 homes.
Why will people use Opendoor over the traditional process?
Because the traditional process is broken and people know it.
Netflix didn't just compete with Blockbuster. It made Blockbuster irrelevant. Nobody wanted to drive to a store, browse shelves, and pay late fees when they could stream from their couch. The convenience gap was so wide that switching wasn't even a decision.
Opendoor is doing the same thing to real estate. Why would a seller deal with months of showings, open houses, and uncertainty when they can get a cash offer in minutes? Why would a buyer pay $2,400 in lender fees and wait weeks to close when Opendoor offers lower rates, $0 fees, and a faster close on one platform?
And Kaz keeps layering on reasons to never leave:
→ Doma title and escrow in-house (5 hours to 15 minutes with AI)
→ Mortgage product expanding to ~40 states by Q3
→ Cash Plus agent partnerships (35% of volume, less capital per home)
→ Future: HELOC, credit products, insurance, warranty
Every service makes the platform stickier. Every service adds margin per home. Every service makes the traditional process look more outdated.
The question isn't whether Opendoor can scale. The AI engine already proved it works at the per-home level. The fixed costs are already cut in half. Profitability is guided for this year. The products are being built.
The question is how fast.

Elon Musk just exposed everything wrong with American politics in one poll.
AOC called him “one of the most unintelligent billionaires” in the country.
Called him “morally vacant.”
Called him “not a scientist” and “not smart.”
Musk went on the NELK Boys podcast and laid the whole thing out.
Musk: “She was like saying billionaires are evil and you’re a billionaire and therefore you’re evil.”
So he didn’t argue back.
He let the people settle it.
Musk: “I hold a poll like, okay, which one do you like more, politicians or billionaires? And billionaires won by a lot.”
Then it got worse.
Musk: “Someone who was like super pro-AOC ran a direct poll of who do you like more, AOC or Elon Musk? Expecting AOC to win.”
She lost.
Not on his turf.
On hers.
Her own supporters put the question up thinking it was a layup.
The internet picked the billionaire over the congresswoman.
Not because people love billionaires.
Because people are tired of politicians who confuse volume with value.
She called him unintelligent.
He employs more engineers than most countries graduate in a year.
She called him morally vacant.
He delivers satellite internet to war zones and mass-produces solar energy for the grid.
She said he’s not a scientist.
His company is the only entity on Earth that catches orbital boosters out of the sky.
This is someone who has built exactly nothing telling the most prolific builder alive that he doesn’t understand anything.
Her entire career is grievance.
Everything is unfair. Everything is broken. Everyone else is to blame.
She doesn’t fix systems. She films herself crying in front of them.
One of them is trying to get humanity off this planet.
The other is trying to extend a clip long enough to trend.
Musk: “People in glass houses shouldn’t throw stones.”
You don’t get to call someone unintelligent when your legacy is congressional soundbites.
You don’t get to call someone morally vacant when he’s building humanity a backup planet and you’re building yourself a brand.
