Let’s review. First, the Chairman of the SEC @GaryGensler testified under oath that crypto exchanges don’t have a regulatory framework. In essence, they fall into a regulatory gap between the @SECGov & @CFTC (emphasis on “regulatory gap”). Of course, the SEC’s official response to Gensler’s testimony and public statements is that whatever the Chair says (even testimony under oath before Congress nonetheless) is irrelevant and immaterial (yes, that’s what, in essence, it argues). But it isn’t just Gensler’s sole opinion now is it?
The Hinman Speech emails, uncovered during the @Ripple case, demonstrate that the Office of General Counsel also maintains the opinion that digital assets fall within - you got it - “a regulatory gap” and likely outside the SEC’s jurisdiction.
Now that’s a very important word here: JURISDICTION.
If the SEC lacks jurisdiction over digital assets and crypto exchanges then enforcement actions do IN FACT commit “violence to the separation of powers.” The argument below is nonsensical. Saying “ONLY the executive branch can bring enforcement actions” therefore its within the executive branch’s function would apply to every single enforcement action by every agency within the executive branch. Such reasoning would do away with the concept of jurisdiction. Didn’t the EPA just get smacked down for trying to regulate outside the jurisdiction provided to it by Congress? Yes it did.
Second, the SEC is allowed to file enforcement actions related to securities identified in the 1934 Securities Act. Along with stocks, bonds, notes, etc., it can also file enforcement actions related to “investment contracts.” The Howey case defined what an investment contract is. Please see my next post below for exactly what that means.
But know this, if the SEC brings an enforcement action involving the sale of software code for example - an asset purchase only - and attempts to expand Howey to cover such sales, it would be an unconstitutional expansion of Howey. That means it does not have jurisdiction over such transactions. Not sure what others’ believe, but an unconstitutional expansion of Howey is a “form of violence to the separation of powers.”

“XRP, as a digital token, is not in and of itself a “contract, transaction[,] or scheme” that embodies the Howey requirements of an investment contract.”
This is a now a matter of law (not up for trial.)
