Quick Facts on Musk's 2025 Pay Package + "Change of Control":

1. No auto full payout. Change of control disregards ops milestones but only uses Tesla's pre-deal share count × deal price (or recent close). No magic combined SpaceX+Tesla valuation.

2. Unearned tranches = forfeited. Only already-met (or newly-met) market cap thresholds count. The rest of the 12 tranches vanish — no free $1T ride.

3. Market cap still required. Must hit the sustained thresholds (up to $8.5T) based on the transaction. Rumors or hype don't unlock everything.

4. Long-term service still applies. Musk must stay in role for years of vesting. Deal doesn't waive the 7.5–10 year retention.

5. Shareholders already approved this. It's standard M&A protection language (same idea as 2018 package). Not a secret loophole — board certifies, and dilution/governance fights remain huge.

The Electrek spin overstates it. No bypass jackpot.
