Startup finance for companies that build physical things: runway, financing, gov contracts. $59 Hardware Runway Kit ↓ Free 13-week template on Kit. Not advice.

[BreezeCFO @BreezeCFO]

$8.8M in the bank can still hit a $7.7M low in week 9 when equipment and payroll land together.

The Hardware Runway Kit shows that week before it arrives: 13-week cash, 36-month runway, board page.

The Army official's words: "We are ready to move in on the '27 [plan to] award a production contract for HADES; We cannot do that … until we clear a CR."

[BreezeCFO @BreezeCFO]

A continuing resolution can move a startup's runway.

Breaking Defense reported the Army's HADES program is on cost and schedule, but its planned production award has to wait until the CR clears.

If a contract start is in your cash plan, a slip scenario is worth having.

@prachiruns Such a good point. The person who saw the demo often has to answer the budget questions too: what it costs, which budget it comes from, and what a paid pilot looks like. A one-page version of that helps the follow-up travel without the founder.

[BreezeCFO @BreezeCFO]

@CJHandmer Self-funding first has a nice side effect: by the time you choose to finance construction, there's an operating track record for a lender to underwrite, and that record is what they price. Growth rate becomes a dial you set rather than a limit.

[BreezeCFO @BreezeCFO]

@paulg The meeting is the small part. It's the prep, the follow-up data requests and the days of context switching after. Batching investor conversations into a short window at least keeps the rest of the quarter for building.

[BreezeCFO @BreezeCFO]

@Gus_Nobody Love the apartment framing. A lender underwriting that rent will also read the customer contract closely: term, cancellation rights, and whether payments can be assigned. A multi-year contract with a creditworthy customer is what lets the robot be valued like the apartment.

[BreezeCFO @BreezeCFO]

@weskaizen Great list, especially #3. Pushed payroll taxes are riskier than other unpaid bills: under IRC 6672, the withheld part can become a personal liability for the people responsible for paying it. That one belongs at the top of the due-date list.

[BreezeCFO @BreezeCFO]

5 layers of a seed-stage hard-tech finance stack, bottom up:

1. Bank: separate reserve + operating accounts
2. Payroll that handles multi-state from hire #1
3. Books that track inventory + capex
4. PO approvals before cards
5. A 13-week cash sheet

Which one came last for you?

[BreezeCFO @BreezeCFO]

@AndurilObserver Agreed, the earlier the better. Thanks for the good questions, I learned a lot digging into them too.

Congrats to the Northwood team. One detail from the release: alongside the $375M equity round, a separate multi-year bank credit facility will support working capital and network expansion. Equity for the build, a credit line for the timing gaps along the way.

[Northwood @NorthwoodSpace]

Today, Northwood is announcing a $375M Series C.

In February of 2024, less than three years ago, we announced Northwood as a small six-person team.
We’ve grown a lot, but the goal stays the same – solve connectivity between Earth and space to take missions further faster.

The world is hungry for more data movement through space, and that is what we're building for, with scalable network capacity for the most challenging use cases.

We are proud to add new partners to our cap table and continue the journey with existing ones as we enter this new chapter.

Thanks to @a16z @DFJvc @WashingHarbour Alpine Space Ventures @stepstone and many others.

Sharp piece from Kyle. He notes the money goes to problems that can absorb billions predictably. Hardware has another route for the steel: the Pentagon's Office of Strategic Capital offered Stoke Space a $150M conditional loan for a second launch pad.

Connor's point has a statutory hook. 10 USC 3453 tells DoD to state needs by function and performance, run market research first, and buy commercial products where practicable. A product funded in advance is one that research can find.

[a16z @a16z]

a16z's Connor Love on why the old defense model gave soldiers systems "developed for 10 years ago," and how private capital lets startups build what they need before the Pentagon asks:

"I experienced this in my past when I served in the Army. The buyer is not the user, and the appropriator of the dollars for the buyer is completely removed."

"You had primes who would just sit there and listen, like, 'Tell me what you want. I'll develop the thing after you give me the money.'... You get a system that was developed for 10 years ago."

"The beautiful thing is venture capital and what we do in American Dynamism, but also the rest of the capital markets is saying, 'We will actually fund that in advance.'"

"The outcome of that is the soldier gets a better product, gets something that actually fundamentally changes the battlefield and helps with deterrence or security or safety."

"More importantly, you get a type of system that is actually aligned with the requirement of the market and what technology can do today."

"Instead of sitting and waiting for the government to tell you what they want, the government signals, and you see it, and you build it in advance by using private capital, and that just has not happened in the history of defense."

Great field note from Anhthu. CSIS's Empty Bins report found an LRASM takes nearly two years to produce, and precursor lead times sit upstream of that. A reactor built in six months, versus 10+ years for a traditional plant, shortens the whole chain.

[Anhthu Nguyen 🇺🇸 @MissAnhthu]

There was a CSIS study in 2023 that estimated if the US went to war over Taiwan, it would likely run out of some long-range, precision-guided munitions in under 7 days. Then, in a working session with leading munitions and steel suppliers at one of the industrial base hackathons I hosted across the country, the longest lead time item was, to my surprise, not building the munitions. It was the limited production of chemical precursors upstream. The US imports 90%+ of the Key Starting Materials (KSMs) and chemical precursors needed for some critical pharmaceuticals like amoxicillin, and for some industrial and agricultural goods. High capital costs, risks, regulation and a thin talent pool make chemical production really hard. So it’s incredible that @solugen split the chemistry from the explosives and is offering a semi-decentralized solution this fast. Their Houston plant makes inert precursors, and with Kraken Kinetics they built their first on-demand energetics reactor in 6 months, compared to the billions of dollars and typically 10+ years a traditional plant takes. Also, love that part 1 is shipping via FedEx or UPS.

[BreezeCFO @BreezeCFO]

@classicblunder7 @AndurilObserver Glad it was useful. The follow-on rule doesn't get much airtime, but it shapes a lot of what happens after a prototype wraps up.

[BreezeCFO @BreezeCFO]

@BusyBeaCPA Thanks, @BusyBeaCPA, well put. One detail worth adding: since 2023 the election can offset the employer Medicare share too, not just Social Security, and it's limited to companies under $5M in gross receipts with no receipts going back more than five years.

[BreezeCFO @BreezeCFO]

A pre-revenue hardware team with no income tax to offset can still use the R&D credit.

Per the IRS, a qualified small business can elect up to $500,000 a year against employer payroll taxes, starting the quarter after the return is filed. Filing early pulls that cash forward.

[BreezeCFO @BreezeCFO]

@AndurilObserver Good question, and I'm still learning it too. From what I've read, production gets paid from procurement money, a separate appropriation from the R&D funds that often cover prototypes, and budgets are built roughly two years ahead. So the funding question tends to matter early.

[BreezeCFO @BreezeCFO]

@jasonlk @HarryStebbings @rodriscoll Fair point from that founder on the learning side. What content can't replace is someone who'll pick up the phone when a bridge round or an inside extension comes up.

[BreezeCFO @BreezeCFO]

Useful exit data point. Per TechCrunch, Rune raised about $30M and PitchBook had it at $127M last year; Resilience Media reports a $375M cash-and-stock deal. A big step-up for software already in use with military units in the field.
