My introduction:
I am a CPA and tax attorney (both licensed in CA) who focuses on assisting buyers and sellers through transactions. I specialize in buy-side and sell-side tax due diligence, tax structuring, and tax modeling. My deal experience ranges from $40b to $1m.
I was trained in two of the premier big 4 M&A tax groups. I have assisted some of the world largest private equity firms with their tax due diligence, structuring and reviewing their purchase agreements from a tax perspective. I also have extensive experience assisting middle market and lower-middle market PE firms, and acquisitive companies and individuals with their acquisitions.
On the personal side I am so fortunate to have 3 amazing sons, and a loving, supportive fiancée.

That’s because those teachers don’t understand that you’ll take the extra tax revenue and further waste it. Those teachers won’t realize one ounce of benefit from increased tax revenue. As soon as you gain some self realization regarding how poorly government manages money we can fix things.

This was an especially complex transaction that required both high-level M&A expertise and careful handling of a very sensitive seller.
There was also a complex tax situation and f-reorg that was handled beautifully by our Tax Department (@JoshuaASiegel).

We closed an M&A deal last year. It was a tough deal, and seller’s counsel was angry, difficult, and contributed to many sleepless nights.
We got the deal closed. Yesterday, the seller reached out to represent him in a new acquisition.
He said, he watched us throughout the deal and had never seen such sharp and professional M&A counsel.
There were many days I struggled to maintain my composure, but turns out it paid off.
