KRA has refused to let Java House go.
You definitely know Java House.
Me, I first encountered it in 2015 while hunting for an attachment in the streets of Nairobi.
All along, I thought it was a biig college teaching Java coding. With branches in every corner.
Until my boss asked to meet me there.
I rushed thinking the legend had enrolled for classes.
Only for him to order coffee for me.
Since then, it has been my favourite coffee joint.
Buana ushamba iheshimiwe.
Now,
In 2012, the two founders of Java House had made their kill after running the company for 13 straight years since 1999.
It was time to go to the beach. They sold the company to ECP Africa in Mauritius.
There was no capital gains tax in Kenya then. So the boys left with their money KRA free.
Before ECP bought the company, they knew:
- Kenya changes laws very fast.
- If they bought shares directly in Kenya
- And later sold them
- They could face taxes if laws changed
So they got smart. They set up a shell company in Mauritius. Called it Java House Mauritius Limited. This company is the one that bought Java House Kenya.
So we now have:
- ECP Africa (Mauritius) owning
- Java House Mauritius
- Which owns Java House Kenya
Clean stuff.
Time came to cash out.
ECP Africa remembered it was also owned by ECP fund in Washington DC.
And ECP DC had a subsidiary management company in Kenya called ECP Kenya Limited.
They agreed and tasked ECP Kenya to:
- To study Java house and improve the business to make more valuable on behalf of ECP Africa.
- Decide when to sell it
- Find a buyer
- Negotiate the deal
In short, ECP Kenya was managing the entire investment.
As all this was happening, they are unaware of one dangerous sentence chilling quietly in Kenyan tax law.
It reads:
• Any company managed and controlled from Kenya is a Kenyan resident company.
In 2017, ECP Africa sold Java house Mauritius company to a Dubai mogul for $100M.
- About 10B shillings.
Everything happened in Mauritius. No shares moved in Kenya to trigger anything.
• Deal is closed. 0 tax.
Bahati mbaya, KRA caught wind that Java is gone.
KRA immediately embarked on a fault finding mission.
And in 2022, found that:
- The entire transaction was managed from Kenya
- Through ECP Kenya
They invoked the one dangerous sentence. You remember it?
• Any company managed and controlled from Kenya is Kenyan company.
KRA said:
• This deal is Kenyan
• Tax must be paid in Kenya
Tax demanded: 2.5B
ECP Kenya to pay it.
ECP Kenya ran to the tax appeal tribunal. Tribunal sided with KRA.
ECP Kenya ran to the High Court. They judge looked at the case and asked KRA why it behaved like a bitter ex.
KRA responded: My Lord, imagine educating your wife, then akigraduate she leaves you for a man of her class. How would you feel?
Judge akakubali inauma.
ECP wakaambiwa walipe tax.
Case closed.
Lesson.
• Structure your offshore deal properly.
• Or KRA will structure it for you.

PRACTICAL RESTRUCTURING MEASURES FOR SMEs TO PLANNING THEIR TAXES UNDER eTIMS regime
1. Procurement of Supplies
-Avoid “Cheaper plugs” / informal suppliers and instead deal with suppliers who are eTIMS compliant .
-The small saving today is not worth a disallowed expense tomorrow.
2. Casual Labour & Services
Instead of engaging and informally Paying technicians, Cleaners, Plumbers and other cashual workers in cash without any documentation and regards to tax compliance , Consider to Formalize the contract or work with Registered Service Providers
3. Communication Costs
Instead of buying Airtime & bundles casually via M-PESA, register for Postpaid Business Lines.
With this ,monthly eTIMS compliance invoice can be issued
4. Transport & Staff Movement
Instead of getting any available service provider (could be your regular Uber / bolt ride) and pay Cash, consider Corporate Accounts with Bolt /uber → One that can get you monthly invoice
5. Deliveries & Logistics
Instead of getting any available service provider for your deliveries (could be your regular boda boda or the local delivery guy who are Informal ) , Get a Registered Courier Companies or ensure the rider is eTIMS-registered
If they want your business, they must formalize
FINAL Thought TO SMEs on this matter
-Tax compliance is no longer just an accounting issue , it is an operational decision.
Businesses that restructure early will:
-Protect deductions
-Reduce audit exposure
-Improve financial discipline
-Gain credibility with financiers and regulators
Those that don’t will continue arguing that:
“Compliance is impossible”
until assessments prove otherwise.

💣🔴🚨THEY CANNOT BLOCK YOUR PENSION BECAUSE YOU WERE CHARGED: COURT EXPLODES COUNTY DELAY TACTIC
The Employment and Labour Relations Court at Nakuru has finally snapped in John Ngigi Daniel v County Government of Nyandarua. A public officer was interdicted in 2018 after being charged with abuse of office. He was parked on half salary for nearly five years. No disciplinary hearing. No conclusion. Just limbo. When he hit retirement age in July 2023, the County pulled a familiar stunt: "we can’t process your pension until your criminal case ends." The trick was to hold his personal file hostage. No file, no pension. No pension, no life.
Justice Anna Ngibuini Mwaure was not amused. The Court held that prolonged interdiction without resolution is an unfair labour practice, and that continuing to withhold salary arrears and pension after retirement is unconstitutional. Once you retire, pension crystallizes. It becomes property. You do not negotiate with it. You do not delay it. And you certainly do not weaponize a personal file to punish an employee through bureaucracy. The County’s conduct violated the right to property and fair labour practices. Full stop.
The orders were brutal. Pay the entire pension. Pay all withheld salary arrears. Add KSh 3 million in constitutional damages. Then load 14% interest until payment. The message is sharp and uncomfortable: public employers are not allowed to keep employees in disciplinary purgatory, then deny them dignity at retirement. Criminal cases are not an excuse. “Awaiting clearance” is not law. And your pension is not a favour from the State. It is your money. The era of file-holding games just got very expensive.

A career will not raise your children.
Teach your children values, manners and ethics. Be a good example to your children.
The more you avoid talking to your children, the more they will grow with poor self-esteem and undesirable manners.
The fact that you are unlucky in marriage should not mean you become loose and uncouth.
It means you should now sit down and focus on something else.
- Save your money
- Look for extra channels for income
- Invest your money for the sake of your children's future
- If you live in a rental house, will you continue living there? Buy land and start developing it for the sake of your future.
- For how long do you think men will continue admiring you?
- For how long do you think men will continue funding your lifestyle?
- These men are sleeping with you because you are loose, naive and desperate.
Remember, in the next few years, your children will soon ask you about their Father. Make peace with him and let him be part of their lives.
The men you keep sleeping with because you want to hurt your ex-husband will have sex with you and with time dump you and leave you in even more pain as he goes back to his children and family.
You will be the loser at the end of it.
Your children will be the biggest losers.
